Common use of Executive Officer Status Clause in Contracts

Executive Officer Status. Employee acknowledges that he may be deemed to be an "executive officer" of the Company for purposes of the Securities Act of 1993, as amended (the "1933 Act"), and the Securities Exchange Act of 1934, as amended (the "1934 Act") and, if so, he shall comply in all respects with all the rules and regulations under the 1933 Act and the 1934 Act applicable to him in a timely and non-delinquent manner. In order to assist the Company in complying with its obligations under the 1933 Act and 1934 Act, Employee shall provide to the Company such information about Employee as the Company shall reasonably request including, but not limited to, information relating to personal history and stockholdings. Employee shall immediately report to the General Counsel of the Company or other designated officer of the Company all changes in beneficial ownership of any shares of the Company Common Stock deemed to be beneficially owned by Employee and/or any members of Employee's immediate family.

Employee Xxxxxxx shall immediately report to the General Counsel of the Company or other designated officer of the Company all changes in beneficial ownership of any shares of the Company Common Stock deemed to be beneficially owned by Employee Xxxxxxx and/or any members of Employee's Xxxxxxx'x immediate family.

In order to assist the Company in complying with its obligations under the 1933 Act and 1934 Act, Employee Lxxxx shall provide to the Company such information about Employee Lxxxx as the Company shall reasonably request including, but not limited to, information relating to personal history and stockholdings. Employee Lxxxx shall immediately report to the General Counsel of the Company or other designated officer of the Company all changes in beneficial ownership of any shares of the Company Common Stock deemed to be beneficially owned by Employee Lxxxx and/or any members of Employee's Lxxxx’x immediate family.

Employee Sxxxxxx acknowledges that he Sxxxxxx may be deemed to be an "“executive officer" ” of the Company for purposes of the Securities Act of 19931933, as amended (the "“1933 Act"”), and the Securities Exchange Act of 1934, as amended (the "“1934 Act"”) and, if so, he Sxxxxxx shall comply in all respects with all the rules and regulations under the 1933 Act and the 1934 Act applicable to him in a timely and non-delinquent manner. In order to assist the Company in complying with its obligations under the 1933 Act and 1934 Act, Employee Sxxxxxx shall provide to the Company such information about Employee Sxxxxxx as the Company shall reasonably request including, but not limited to, information relating to personal history and stockholdings. Employee Sxxxxxx shall immediately report to the General Counsel of the Company or other designated officer of the Company all changes in beneficial ownership of any shares of the Company Common Stock deemed to be beneficially owned by Employee Sxxxxxx and/or any members of Employee's Sxxxxxx’x immediate family.

In order to assist the Company in complying with its obligations under the 1933 Act and 1934 Act, Employee shall provide to the Company such information about Employee as the Company shall reasonably request including, but not limited to, information relating to personal history and stockholdings. Employee shall immediately report to the General Counsel of the Company or other designated officer of the Company all changes in beneficial ownership of any shares of the Company Common Stock deemed to be beneficially owned by Employee and/or any members of Employee's immediate family.

Employee shall immediately report to the General Counsel of the Company or other designated officer of the Company all changes in beneficial ownership of any shares of the Company Common Stock deemed to be beneficially owned by Employee and/or any members of Employee's immediate family.

Employee further agrees to comply with all requirements placed on him by the Xxxxxxxx-Xxxxx Act of 2002, Pub.L. NO. 107-204.

Employee Bxxxxxxx acknowledges that he Brookman may be deemed to be an "executive officer" of the Company for purposes of the Securities Act of 19931933, as amended (the "1933 Act"), and the Securities Exchange Act of 1934, as amended (the "1934 Act") and, if so, he Brookman shall comply in all respects with all the rules and regulations under the 1933 Act and the 1934 Act applicable to him in a timely and non-delinquent manner. In order to assist the Company in complying with its obligations under the 1933 Act and 1934 Act, Employee Bxxxxxxx shall provide to the Company such information about Employee Bxxxxxxx as the Company shall reasonably request including, but not limited to, information relating to personal history and stockholdings. Employee Bxxxxxxx shall immediately report to the General Counsel of the Company or other designated officer of the Company all changes in beneficial ownership of any shares of the Company Common Stock deemed to be beneficially owned by Employee Bxxxxxxx and/or any members of Employee's Bxxxxxxx'x immediate family.
