Common use of Executive’s Cooperation Clause in Contracts

Executive’s Cooperation. During the Employment Period and for one (1) year thereafter, Executive shall, subject to the Company reimbursing Executive for out-of-pocket expenses, cooperate with Parent, the Company and their Subsidiaries in any internal investigation or administrative, regulatory or judicial proceeding as reasonably requested by the Company (including, without limitation, Executive being available to the Company upon reasonable notice for interviews and factual investigations, appearing at the Company’s request to give testimony without requiring service of a subpoena or other legal process, volunteering to the Company all pertinent information and turning over to the Company all relevant documents which are or may come into Executive’s possession, all at times and on schedules that are reasonably consistent with Executive’s other permitted activities and commitments).

During the Employment Period and for one (1) year two years thereafter, Executive shall, subject to the Company reimbursing Executive for out-of-pocket expenses, cooperate with Parent, the Company and their Subsidiaries in any internal investigation or administrative, regulatory or judicial proceeding as reasonably requested by the Company (including, without limitation, Executive being available to the Company upon reasonable notice for interviews and factual investigations, appearing at the Company’s request to give testimony without requiring service of a subpoena or other legal process, volunteering to the Company all pertinent information and turning over to the Company all relevant documents which are or may come into Executive’s possession, all at times and on schedules that are reasonably consistent with Executive’s other permitted activities and commitments).

Executive’s Cooperation. During the Employment Period Period, any additional periods of employment thereafter, and for one (1) the five-year period thereafter, the Executive shall, subject to shall cooperate with the Company reimbursing Executive for out-of-pocket expenses, cooperate with Parent, the Company and their Subsidiaries in any internal investigation or investigation, any administrative, regulatory or judicial proceeding or any dispute with a third party as reasonably requested by the Company (including, without limitation, the Executive being using reasonable efforts to be available to the Company upon reasonable notice for interviews and factual investigations, appearing to appear at the Company’s request to give testimony without requiring service of a subpoena or other legal process, volunteering to volunteer to the Company all pertinent information and turning turn over to the Company all relevant documents which are or may come into Executive’s possession, all at times and on schedules that are reasonably consistent possession during the Employment Period in connection with the performance of the Executive’s other permitted activities and commitments)duties hereunder.
