Exercise obligation. XXXXXX undertakes to conscientiously exercise the rights granted under this Agreement and to make the best possible efforts to distribute and license the subject matter of this Agreement. If sublicensing is carried out by BUNKER, it must be ensured that it is not carried out below market prices. Contracts with licensees of BUNKER must include appropriate price adjustment clauses.

  • Performance Obligations The Purchaser shall have performed in all respects all obligations required to be performed by it under this Agreement at or prior to the Closing.
