Exercise of Care as Foreign Custody Manager. The Foreign Custody Manager shall exercise reasonable care, prudence and diligence such as a person having responsibility for the safekeeping of the Foreign Assets would exercise in performing the delegated responsibilities on behalf of a management investment company registered under the 1940 Act. Notwithstanding the foregoing, the Custodian acting as Foreign Custody Manager of the Portfolio is subject to the Standard of Care provided in Section 14.1 of this Agreement.
