EXERCISE OF JUDGEMENT IN RENDERING SERVICES. In providing any Services hereunder which require the exercise of judgement, each party shall perform any such Service in accordance with any standards and guidelines developed and communicated to the other party. In performing any Services hereunder, each party shall at all times act in a manner reasonably calculated to be in, or not opposed to, the best interest of the other party. Neither party shall have liability for any action taken or omitted by it, in furnishing Services and Facilities under this Agreement, in good faith and without gross negligence.
