PERFORMANCE OF SERVICES AND USE OF FACILITIES. Subject to the terms, conditions and limitations of this Agreement, Provider agrees to the extent requested by Company to perform diligently and in a professional manner such services for Company as Company determines to be reasonably necessary in the conduct of its insurance operations. Subject to the terms, conditions and limitations of this Agreement, Provider agrees to the extent requested by Company to make available to Company such of its facilities as Company and Provider may mutually determine to be reasonably necessary in the conduct of its insurance operations, including but not limited to data processing equipment, business property (whether owned or leased) and communications equipment. Provider agrees at all times to maintain sufficient facilities and trained personnel of the kind necessary to perform this Agreement. With the Company's prior written consent, Provider may arrange to furnish such services through one or more of its affiliates, subject to the terms, conditions and limitations set forth herein. The Provider shall furnish the Company with written confirmation of the nature and extent of services to be provided to the Company by such affiliates and the location(s) at which such services shall be performed. Any such affiliate shall agree in writing to observe and be bound by all terms and conditions of this Agreement in performing such services and its records shall be subject to inspection, audit and examination by the Company in accordance with Section 5 and 6 hereof. Charges for such services shall be determined consistent with the requirements of Section 3, and shall be included in the statement furnished by the Provider to the Company pursuant to Section 4. Provider shall, at all times, remain liable to the Company for the performance of services by such affiliates to the same extent as if they had been performed by Provider itself. Exhibit A lists the services to be provided directly by Provider and those to be delegated to affiliates of Provider pursuant hereto as of the Effective Date of this Agreement

Provider agrees at all times to maintain sufficient facilities and trained personnel of the kind necessary to perform this Agreement.
PERFORMANCE OF SERVICES AND USE OF FACILITIES. IMS agrees to make available its Facilities to BSIC and perform the services hereinafter required for the conduct of its operations, including but not limited to: data processing equipment; business property, whether owned or leased; and communications equipment. IMS agrees at all times to use its best efforts to maintain sufficient personnel and Facilities of the kind necessary to perform this Agreement.
PERFORMANCE OF SERVICES AND USE OF FACILITIES. AAG agrees to the extent requested by AILIC to perform such Services for AILIC as AILIC determines to be reasonably necessary in the conduct of its business and operations. AAG agrees to the extent requested by AILIC to make available its personnel and Facilities to AILIC as AILIC may determine to be reasonably necessary in the conduct of its business and operations, including but not limited to the following functions: policy administration; accounting and auditing services; actuarial; marketing; legal; administrative and other regulatory matters; general corporate matters; contract matters; use of data processing and computer equipment; use of business property, whether owned or leased; and use of communications equipment. It is the intent of the parties that AAG will perform all services which AILIC requires in connection with its business of marketing, issuing and servicing fixed and variable annuities and provide all Facilities needed in connection with such business. Notwithstanding the foregoing, this Agreement is not intended to cover investment services or policy distribution which may be the subject of separate agreements. AAG agrees at all times to use its best efforts to maintain sufficient personnel and Facilities of the kind necessary to perform the Services sent forth in this Agreement. AAG shall have the right upon thirty (30) days prior written notice to and non-disapproval by the Ohio Department of Insurance to subcontract with those subsidiaries, affiliates or unrelated third parties (hereinafter "Subcontractors") accepted in writing by AILIC to perform any Services and provide any personnel and Facilities which AAG is obligated to provide to AILIC pursuant to this Agreement and in strict accordance with the terms, conditions and limitations contained in this Agreement; provided, however, AAG shall not be relieved of its obligations, or of any liability hereunder to AILIC arising as a result of any failures of SUBCONTRACTORS to perform. Until changed in accordance with the foregoing, Services shall be provided by AAG.
PERFORMANCE OF SERVICES AND USE OF FACILITIES. Subject to the terms, conditions and limitations of this Agreement, Parent agrees to perform such services for Company as may be reasonably necessary in the conduct of Company's business operations and as set forth in Section 2 of this Agreement. Subject to the terms, conditions and limitations of this Agreement, Parent agrees to make available to Company such of its facilities or the facilities of its subsidiaries as may be reasonably necessary in the conduct of Company's business operations, including, without limitation, data processing equipment, office facilities (whether owned or leased) and communications equipment.
PERFORMANCE OF SERVICES AND USE OF FACILITIES. Bankers agrees to the extent requested by IMSG to perform such services for IMSG as IMSG determines to be reasonably necessary in the conduct of its operations. Bankers agrees to the extent requested by IMSG to make available its Facilities to IMSG as IMSG may determine to be reasonably necessary in the conduct of its operations, including but not limited to: human resource services, such as recruiting, hiring, benefits administration and training, legal services, certain corporate accounting functions, buildings and services, cash management, agency accounting and corporate communications. Bankers agrees at all times to use its best efforts to maintain sufficient personnel and Facilities of the kind necessary to perform this Agreement.
PERFORMANCE OF SERVICES AND USE OF FACILITIES. (a) Subject to the terms and conditions of this Agreement, Service Provider agrees, to the extent requested by Recipient, (i) to perform such Services for Recipient as Recipient determines to be reasonably necessary in the conduct of its insurance operations and (ii) to make available to Recipient such of its Facilities as Recipient may determine to be reasonably necessary in the conduct of its insurance operations, including without limitation data processing equipment, business property (whether owned or leased) and communications equipment.
PERFORMANCE OF SERVICES AND USE OF FACILITIES. Subject to the terms, conditions, and limitations of this Agreement, Provider agrees to the extent requested by Company to perform diligently and in a professional manner the services listed in Section 2 of this Agreement. Subject to the terms, conditions and limitations of this Agreement, Provider agrees to the extent requested by Company to make available to Company such data processing equipment, business property and space and communications equipment, whether owned or leased, as Company may determine to be reasonably necessary in the conduct of its insurance operations. Provider agrees at all time to maintain sufficient facilities and capacity of the kind necessary to perform this Agreement. (a)
PERFORMANCE OF SERVICES AND USE OF FACILITIES. Each group member agrees to the extent requested by another Group member to perform such services for the requesting Group member as the recipient Group member determines to be reasonably necessary in the conduct of its operations; provided that the performing Group member may in its sole discretion decline to provide the requested services if that would interfere with the performing Group member’s ability to meet its obligations to its policyholders or would otherwise adversely affect the performing group member. Each Group member agrees to the extent requested by another Group member to make available its facilities to the recipient Group member as the recipient Group member may determine to be reasonable necessary in the conduct of its operations, including but not limited to: data processing, equipment, business property, whether owned or leased, and communication equipment; provided that the performing Group member may in its sole discretion decline to provide the requested facilities if that would interfere with the requested Group member’s ability to meet its obligations to its policyholders or would otherwise adversely affect the performing group member.
PERFORMANCE OF SERVICES AND USE OF FACILITIES. Subject to the terms, conditions and limitations of this Agreement, Allstate agrees to the extent requested by ILIC to perform diligently and in a professional manner such services as set forth in this Agreement as ILIC determines to be reasonably necessary in the conduct of its insurance operations. Subject to the terms, conditions and limitations of this Agreement, Allstate agrees to the extent requested by ILIC to make available to ILIC such of its facilities as ILIC may determine to be reasonably necessary in the conduct of the portion of its insurance operations specified herein, including data processing equipment, business property (whether owned or leased) and communications equipment. Allstate agrees at all times to maintain sufficient facilities and trained personnel of the kind necessary to perform this Agreement.
