Common use of Exercise Upon Termination Clause in Contracts

Exercise Upon Termination. Upon termination of Xxxxxxx Xxxxxxx'x employment with the Company or Mailing & Marketing Acquisition Corp. (the "Subsidiary") for any reason (including death or retirement), this Warrant may be exercised to the extent it has vested as of such date and for three (3) months thereafter and up to and including the Expiration Date. If Xxxxxxx Xxxxxxx'x employment is terminated for any reason prior to the vesting of this Warrant, this Warrant shall cease to be exercisable and shall become void and all rights of the Warrantholder hereunder shall cease. Subject to the foregoing, in the event of Xxxxxxx Xxxxxxx'x death, this Warrant may be exercised to the extent vested at the time of death by Xx. Xxxxxxx'x legal representative through the Expiration Date.
