Recovery upon Termination. On the termination of the Contract for any reason, the Contractor shall at its cost:
Recovery upon Termination. H6.1 At the expiry or earlier termination of the Contract Period (howsoever arising) the Contractor shall immediately deliver to the Authority or as directed upon request all Property (including materials, documents, information and access keys) used in the performance of its obligations under the Contract in its possession or under its control or in the possession or under the control of any permitted suppliers or Sub-contractors and in the event the Contractor fails to do so, the Authority may recover possession thereof and the Contractor grants a licence to the Authority or its appointed agents to enter (for the purposes of such recovery) any premises of the Contractor or its permitted suppliers or Sub-contractors where any such items may be held.
H6.2 At the expiry or early termination of the Contract Period (howsoever arising) and/or after the Contract Period the Contractor shall provide assistance to the Authority and the Replacement Contractor in order to ensure an effective handover of all work then in progress. Where the end of the Contract Period arises due to the Contractor’s Default, the Contractor shall provide such assistance at nil charge. Where the contract ends for other reasons the Authority shall pay the Contractor’s reasonable costs of providing the assistance and the Contractor shall take all reasonable steps to mitigate such costs.
Recovery upon Termination. H6.1 On the termination of the Contract for any reason, the Contractor shall:
(a) immediately return to the Client all Confidential Information, Personal Data and materials in which are vested any Client’s Project Specific Intellectual Property Rights in its possession or in the possession or under the control of any permitted suppliers or sub-contractors, which was obtained or produced in the course of providing the Services;
(b) immediately deliver to the Client all Property (including materials, documents, information and access keys) provided to the Contractor under clause B11. Such property shall be handed back in good working order (allowance shall be made for reasonable wear and tear);
(c) assist and co-operate with the Client to ensure an orderly transition of the provision of the Services to the Replacement Contractor and/or the completion of any work in progress.
(d) promptly provide all information concerning the provision of the Services which may reasonably be requested by the Client for the purposes of adequately understanding the manner in which the Services have been provided or for the purpose of allowing the Client or the Replacement Contractor to conduct due diligence.
H6.2 If the Contractor fails to comply with clause H6.1 (a) and (b), the Client may recover possession thereof and the Contractor grants a licence to the Client or its appointed agents to enter (for the purposes of such recovery) any premises of the Contractor or its permitted suppliers or sub-contractors where any such items may be held.
H6.3 Where the end of the Contract Period arises due to the Contractor’s Default, the Contractor shall provide all assistance under clause H6(c) and (d) free of charge. Otherwise, the Client shall pay the Contractor’s reasonable costs of providing the assistance and the Contractor shall take all reasonable steps to mitigate such costs.
Recovery upon Termination. On the termination of the Contract for any reason, the Contractor shall immediately return to the Authority all Confidential Information and any other property belonging to the Authority supplied to the Contractor for the purpose of the Contract.
Recovery upon Termination. H6.1 Termination or expiry of the Contract shall be without prejudice to any rights and remedies of the Contractor and XXX accrued before such termination or expiration and nothing in the Contract shall prejudice the right of either Party to recover any amount outstanding at such termination or expiry.
H6.2 At the end of the Contract Period (and howsoever arising) the Contractor shall forthwith deliver to XXX upon request all XXX’x Property (including but not limited to materials, documents, information) relating to the Contract in its possession or under its control or in the possession or under the control of any permitted suppliers or sub-contractors and in default of compliance with this Clause XXX may recover possession thereof and the Contractor grants licence to XXX or its appointed agents to enter (for the purposes of such recovery) any premises of the Contractor or its permitted suppliers or sub-contractors where any such items may be held.
H6.3 At the end of the Contract Period (howsoever arising) and/ or after the Contract Period the Contractor shall co-operate free of charge with XXX and any new contractor appointed by XXX to continue or take over the performance of the Contract in order to ensure an effective handover of all work then in progress.
H6.4 The provisions of this Clause shall survive the continuance of this Contract and indefinitely after its termination.

(a) immediately return to the Client all Confidential Information, Personal Data and IP Materials in its possession or in the possession or under the control of any permitted suppliers or sub-contractors, which was obtained or produced in the course of providing the Services;
(b) immediately deliver to the Client all Property (including materials, documents, information and access keys) provided to the Contractor under clause B11. Such property shall be handed back in good working order (allowance shall be made for reasonable wear and tear);
(c) assist and co-operate with the Client to ensure an orderly transition of the provision of the Services to the Replacement Contractor and/or the completion of any work in progress.
(d) promptly provide all information concerning the provision of the Services which may reasonably be requested by the Client for the purposes of adequately understanding the manner in which the Services have been provided or for the purpose of allowing the Client or the Replacement Contractor to conduct due diligence.
H6.2 If the Contractor fails to comply with clause H6.1 (a) and (b), the Client may recover possession thereof and the Contractor grants a licence to the Client or its appointed agents to enter (for the purposes of such recovery) any premises of the Contractor or its permitted suppliers or sub-contractors where any such items may be held.
H6.3 Where the end of the Contract Period arises due to the Contractor’s Default, the Contractor shall provide all assistance under clause H6(c) and (d) free of charge. Otherwise, the Client shall pay the Contractor’s reasonable costs of providing the assistance and the Contractor shall take all reasonable steps to mitigate such costs.

In the event the Contractor fails to do so, the Authority may recover possession thereof and the Contractor grants a licence to the Authority or its appointed agents to enter (for the purposes of such recovery) any premises of the Contractor or its permitted suppliers or Sub-contractors where any such items may be held.

At the end of the Contract Period (howsoever arising) the SERVICE PROVIDER shall immediately deliver to the CLIENT upon request all Property (including but not limited to materials, documents, information, access keys) used in the performance of its obligations under the Contract in its possession or under its control or in the possession or under the control of any permitted suppliers or sub-contractors and in the event that the SERVICE PROVIDER fails to do so, the CLIENT may recover possession thereof and the SERVICE PROVIDER grants a licence to the CLIENT or its appointed agents to enter (for the purposes of such recovery) any premises of the SERVICE PROVIDER or its permitted suppliers or sub-contractors where any such items may be held. At the end of the Contract Period (howsoever arising) and/or after the Contract Period the SERVICE PROVIDER shall provide assistance to the CLIENT and the Replacement SERVICE PROVIDER appointed by the CLIENT to continue or take over the performance of the SERVICE PROVIDER’S obligations under the Contract in order to ensure an effective handover of all work then in progress. Where the end of the Contract Period arises due to the SERVICE PROVIDER’S Default, the SERVICE PROVIDER shall provide such assistance free of charge. Otherwise the CLIENT shall pay the SERVICE PROVIDER’S reasonable costs of providing the assistance and the SERVICE PROVIDER shall take all reasonable steps to mitigate such costs. At the end of the Contract Period (howsoever arising):- the licence granted pursuant to Clause 38.7 shall automatically terminate without the need to serve notice; and the SERVICE PROVIDER shall deliver up to the CLIENT in a format to be advised by the CLIENT, all copies of the most up to date and complete version of the Source Code that is in or under the SERVICE PROVIDER'S power, custody or control.

53.1.1 immediately return to the Council all Confidential Information, Personal Data and IP Materials in its possession or in the possession or under the control of any permitted suppliers or Sub-Contractors, which was obtained or produced in the course of providing the Services;
53.1.2 Immediately deliver to the Council all Property (including materials, documents, information and access keys) provided to the Supplier under clause 16. Such property shall be handed back in good working order (allowance shall be made for reasonable wear and tear);
53.1.3 assist and co-operate with the Council to ensure an orderly transition of the provision of the Services to the Replacement Supplier and/or the completion of any work in progress.
53.1.4 promptly provide all information concerning the provision of the Services which may reasonably be requested by the Council for the purposes of adequately understanding the manner in which the Services have been provided or for the purpose of allowing the Council or the Replacement Supplier to conduct due diligence.
53.2 If the Supplier fails to comply with clause 53.1.1 and 53.1.2, the Council may recover possession thereof and the Supplier grants a licence to the Council or its appointed agents to enter (for the purposes of such recovery) any premises of the Supplier or its permitted suppliers or Sub-Contractors where any such items may be held.
53.3 Where the end of the Contract Period arises due to the Supplier’s Default, the Supplier shall provide all assistance under clause 53.1.3 and 53.1.4 free of charge. Otherwise, the Council shall pay the Supplier’s reasonable costs of providing the assistance and the Supplier shall take all reasonable steps to mitigate such costs.
