Exhibits and Disclosure Letters. The Exhibits to this Agreement and the Disclosure Letters are hereby incorporated and made a part hereof and are an integral part of this Agreement. Each of the Company and Parent may, at its option, include in the Company Disclosure Letter or the Parent Disclosure Letter, respectively, items that are not material in order to avoid any misunderstanding, and such inclusion, or any references to dollar amounts herein or in the Disclosure Letters, shall not be deemed to be an acknowledgement or representation that such items are material, to establish any standard of materiality or to define further the meaning of such terms for purposes of this Agreement or otherwise. Any matter set forth in any section of the Disclosure Letters shall be deemed to be referred to and incorporated in any section to which it is specifically referenced or cross-referenced and also in all other sections of such Disclosure Letter to which such matter’s application or relevance is reasonably apparent on the face of such matter. Any capitalized term used in any Exhibit or any Disclosure Letter but not otherwise defined therein shall have the meaning given to such term herein.

Exhibits and Disclosure Letters. For purposes of the representations and warranties of the Companies contained herein, disclosure in any section of the Company Disclosure Letter or the Buyer Disclosure Letter of any facts or circumstances shall be deemed to be adequate response and disclosure of such facts or circumstances with respect to all representations or warranties by such entities calling for disclosure of such information, if it is reasonably apparent from the face of such disclosure item that another disclosure section is also applicable. The disclosure of any matter or item in any section of the Company Disclosure Letter or the Buyer Disclosure Letter shall not be deemed to constitute an acknowledgment that any such matter is required to be disclosed. The inclusion of any matter, information or item in any section of the Company Disclosure Letter or the Buyer Disclosure Letter shall not be deemed to constitute an admission of any Liability by the Companies to any third party or otherwise imply that any such matter, information or item is material or creates a measure for materiality for the purposes of this Agreement.

Any matter, information or item disclosed in any particular section of the Company Disclosure Letter shall be deemed to have been disclosed in the Company Disclosure Letter for all purposes of this Agreement in response to each other representation or warranty in this Agreement to the extent it is reasonably apparent on the face of such disclosure that such item relates or is applicable to, or is properly disclosed under, such other section of the Company Disclosure Letter to which such other representation and warranty corresponds. The inclusion of any matter, information or item in the Company Disclosure Letter shall not be deemed to constitute an admission of any liability by the Company to any third party or otherwise imply that any such matter, information or item is material or creates a measure for materiality for the purposes of this Agreement.
Exhibits and Disclosure Letters. Any matter, information or item disclosed in the Company Disclosure Letter or Purchaser Disclosure Letter, shall be deemed to have been disclosed for all purposes of this Agreement in response to every representation, warranty or covenant in this Agreement in respect of which such disclosure is reasonably inferable. The inclusion of any matter, information or item in the Company Disclosure Letter or Purchaser Disclosure Letter shall not be deemed to constitute an admission of any liability by the Company, Parent or the Purchaser, respectively, to any third party or otherwise imply that any such matter, information or item is material or creates a measure for materiality for the purposes of this Agreement.
Exhibits and Disclosure Letters. The Exhibits and the Company Disclosure Letter to this Agreement are incorporated into and form an integral part of this Agreement. If an Exhibit is a form of agreement, such agreement, when executed and delivered by the parties thereto, shall constitute a document independent of this Agreement. Stock Purchase Agreement
Exhibits and Disclosure Letters. (a) The Exhibits and Disclosure Letters form an integral part of this Agreement. The Disclosure Letters and all information contained therein is confidential information and may not be disclosed unless: (a) it is required to be disclosed pursuant to Applicable Law; or (b) a Party needs to disclose it in order to enforce or exercise its rights under this Agreement or any Ancillary Agreement.
(b) Any matter disclosed on any of the Schedules to a Disclosure Letter shall be deemed to be disclosed on each other Schedule of the Disclosure Letter relating to such matters to the extent that the disclosure is reasonably apparent from its face to be applicable to such other Schedule. Any disclosure made in any particular numbered Schedule of a Disclosure Letter that expressly states that it is an exception to one or more specified representations in the accompanying Section of the Agreement, or with respect to which it is reasonably apparent on its face that it is an exception to one or more specified representations in the accompanying Section of the Agreement, shall constitute an exception to the representations and warranties contained in such Section, whether or not the representation contains the phrase “except as set forth in Schedule” or similar language.
(c) The purposes of the Disclosure Letters is to set out the qualifications, exceptions and other information called for in this Agreement. The Parties acknowledge and agree that the information and disclosures contained in the Disclosure Letters do not constitute or imply, and will not be construed as:
(1) any representation, warranty, covenant or agreement which is not expressly set out in the body of this Agreement;
(2) an admission of any liability or obligation of the Party making such disclosure;
(3) an admission that the information is material or would constitute a Material Adverse Change; or
(4) an expansion of the scope or effect of any of the representations, warranties and/or covenants set out in this Agreement.
(d) Disclosure of any information in the Exhibits or Disclosure Letters that is not strictly required under this Agreement has been made for informational purposes only and does not imply disclosure of all matters of a similar nature.
