Existence and Good Standing of each Company Group Member. Each Company Group Member is a limited liability company duly organized, validly existing, and in good standing under the laws of the jurisdiction in which it was formed and organized. Each Company Group Member has all requisite power and authority to own its property and to carry on its business as now being conducted. Each Company Group Member is duly qualified to do business and is in good standing in each jurisdiction in which the character or location of the properties owned, leased or operated by such Company Group Member or the nature of the business conducted by such Company Group Member makes such qualification necessary.
