Common use of Existence; Authorization Clause in Contracts

Existence; Authorization. Each of Clearwire and Purchaser is lawfully existing and in good standing under the laws of the State of Delaware, has all requisite power and authority to enter into this Agreement and to perform the obligations to be performed by it under this Agreement. Except for obtaining board approval from Clearwire, the execution and delivery of this Agreement, and the performance by Purchaser and Clearwire of its respective obligations hereunder, have been duly authorized by all necessary action on the part of Purchaser and Clearwire, respectively.
