Common use of Existing Indebtedness; Consolidated Debt Clause in Contracts

Existing Indebtedness; Consolidated Debt. Part I of Schedule 7.1(g) is, as of the Agreement Date (or, with respect to CDD Debt, the Cutoff Date), a complete and correct listing of all Indebtedness (including all Guarantees) of each of the Borrower, the other Loan Parties and the other Subsidiaries, and if such Indebtedness is secured by any Lien, a description of all of the property subject to such Lien. As of the Agreement Date, the Borrower, the other Loan Parties and the other Subsidiaries have performed and are in compliance, in all material respects, with all of the terms of such Indebtedness and all instruments and agreements relating thereto, and no default or event of default, or event or condition which with the giving of notice, the lapse of time, or both, would constitute a default or event of default, exists with respect to any such Indebtedness. Part II of Schedule 7.1(g) is, as of the end of the Borrower’s fiscal quarter ending March 31, 2019, a complete and correct listing of all Consolidated Debt of the Borrower, the other Loan Parties and the other Subsidiaries (excluding any Indebtedness set forth on Part I of such Schedule).
