Existing Permits. Existing Permits" shall mean all licenses, permits, approvals, franchises, qualifications, certificates of convenience and necessity, permissions, agreements, rate and other orders and governmental authorizations required for the conduct of the business of any of the ESELCO Companies, all of which are listed and briefly described on the Disclosure Schedule.
Existing Permits. The Disclosure Schedule contains a listing of each Existing Permit. Each Existing Permit is valid and in full force and effect, and such Existing Permits collectively constitute all of the permits, licenses, approvals, qualifications, permissions or authorizations necessary to permit the Seller lawfully to conduct and operate the Business in the manner currently conducted and to permit the Seller to own and use the Purchased Assets in the manner in which it currently owns and uses such assets.

(a) Valuation Formula

Existing Permits. CONTRACTOR shall obtain, at its own 353 expense, all permits and licenses required by law or ordinance and maintain same in full 354 force and effect throughout the term of this Agreement. CONTRACTOR shall provide 355 proof of such permits, licenses or approvals and shall demonstrate compliance with the 356 terms and conditions of such permits, licenses and approvals upon the request of the 357 DISTRICT Representative.
02.1.1 CONTRACTOR shall keep the DISTRICT fully 359 informed, in a timely manner, of its progress in securing permits, or renewals of permits, 360 which occur during the term of this Agreement as they pertain to the Disposal, transfer or 361 processing operations at the Disposal Facility or Landfill as appropriate in accordance 362 with this Agreement and the costs related thereto. 363 4.02.1.2 CONTRACTOR shall provide the DISTRICT upon 364 DISTRICT’S request with copies of any applications that the CONTRACTOR submits to 365 any regulatory body in connection with the issuance of new permits, or the extension, 366 revision or modification of existing permits with respect to the Disposal Facility or 367 Landfill.

Existing Permits. Schedule 4.13 contains a true, correct, and complete list of the Permits (including applications therefor) other than the Building Permits held in the name of any Selling Subsidiary or used or held for use in the Residential Business, including, without limitation, all HVAC and plumbing licenses under which the Residential Business is currently conducted that is in the name of individuals whose licenses are used by the Residential Business, and such Schedule identifies the name of the Person who holds such Permit. Sellers hold, and Schedule 4.13 together with the Building Permits, set forth, all Permits that are required by any Governmental Entity to permit each Seller to conduct the Residential Business now conducted by them and to operate any of their assets owned or used by them. Except as described in Schedule 4.13, all Permits set forth on Schedule 4.13 and all Building Permits: (i) are valid and subsisting and in full force and effect, (ii) other than those Permits held in the name of individuals whose licenses are used by the Residential Business, are transferable to Buyer without any further action by Sellers, and (iii) no suspension, cancellation or termination of any Permits is threatened or pending.
Existing Permits. Unless approved by the Commission, no permit issued for loading zones, valet, food truck service, or other use of the Metered Parking Spaces will be modified by Metro or Parking Company during the term of the permit and the holders of those permits will be entitled, visa vie the Parking Company, to use those permits in accordance with the terms of use in effect at the time of their grant. At time of renewal of a permit, the terms of the permit may be modified to the terms of such permit then approved by the Commission. Any increase in such permits over the numbers in place on April 29, 2019 may constitute a Compensation Event.
