The Expansion Areas clause defines specific geographic regions or markets where a party, typically a franchisee or licensee, may have the right to expand its operations in the future. This clause outlines the conditions under which expansion can occur, such as meeting certain performance benchmarks or obtaining approval from the franchisor, and may specify timelines or procedures for exercising these rights. Its core practical function is to provide a structured framework for growth, ensuring both parties understand the boundaries and requirements for expanding the business, thereby reducing disputes and supporting strategic planning.
Expansion Areas a. The Parties agree to use 4400 South as the boundary of the Parties’ respective expansion areas, with 4400 South serving as the north boundary of Hyrum’s expansion area and the south boundary of Nibley’s expansion area, as shown in the attached Exhibit A.
b. Each Party agrees to not annex nor to encourage, entertain, or accept a petition for annexation of any property that is located on the other Party’s side of 4400 South without the prior written consent of the other Party.
c. Consent shall not be unreasonably withheld if it appears to the City Council of the Party whose consent is required that the city to whom the petitioning property owner wishes to be annexed can reasonably provide services to the property without adversely affecting existing, planned, or potential public spaces and public services of the consenting Party, and the property will be developed in a manner consistent with this Agreement.
d. Annexations that border 4400 South shall extend to the centerline of 4400 South, or as otherwise required by Cache County.
Expansion Areas. Upon meeting certain conditions, described hereafter, any or all of the East VillageTALUS Expansion Areas may be developed from time to time during the Buildout Period with land uses and densities consistent with the East VillageTALUS Project, as shown on Exhibit 3 (“Cougar Mountain East VillageTALUS Development Area Exhibit”). Any East VillageTALUS Expansion Area that meets those conditions is termed an “Approved East VillageTALUS Expansion Area” herein. An East Village TALUS Expansion Area shall be deemed an Approved East VillageTALUS Expansion Area after it meets all of the following conditions of this Section
Expansion Areas. Those areas designated by the County for future use for expansion of aeronautical activities. The County reserves the right, in its sole discretion (consistent with good Airport operational and management practices and the Airport MasterPlan) and without advance notice or compensation to any party, to limit or regulate use or tolease as an exclusive area to third parties.
Expansion Areas. The Base Monthly Rent for the each of Expansion Areas 1, 2 and 3 shall be $2.30 per rentable square foot per month and shall commence on the applicable Expansion Area Commencement Date as described in the table in Section 5.A of this Sublease below.
Expansion Areas. The Initial Premises may be expanded from time to time in accordance with Section 1.5.
Expansion Areas. Up to approximately 94 123 acres of land outside of the Partnership's ownership on the date of execution of this Agreement, as shown on Exhibit 3 and described in Exhibit 1, may be included within the Project boundaries upon meeting the following conditions: (i) mutual agreement by the parties (or the Partnership and the City after the effective date of annexation) to develop in a manner consistent with the land uses and densities using the format shown in Appendix B; (ii) acquisition of the potential expansion area(s) by the Partnership or the agreement by the Partnership and those adjacent owners to subject those properties to the terms of this Agreement (if executed before annexation of the UGA by the City, the Agreement between the Partnership and adjacent owners shall be in a form acceptable to both the County and City; if executed after annexation of the UGA by the City, the agreement between the Partnership and adjacent owners shall be in a form acceptable to the City only); and (iii) annexation of the expansion area(s) to the City. These expansion areas are mapped on Exhibit 3 and extend Development Areas 3 and 4 to their natural topographic or drainage basin boundaries, and provide a stronger cohesion between these two village areas. To the extent an expansion area is not within the current UGA boundary, then its inclusion in the UGA shall comply with all applicable laws, including but not limited to any required County UGA approval and boundary adjustment provisions in the Comprehensive Plans of the County and City, including County Policy I-204 (regarding the provision of additional open space at a 4:1 rural to urban ratio), and be done prior to annexation.
