Common use of Expenses of Note Agent Clause in Contracts

Expenses of Note Agent. The Company shall pay or reimburse the Note Agent upon its request for all reasonable expenses, disbursements and advances incurred or made by the Note Agent in connection with the performance of Note Agent's obligations with respect to a Default by Company or by reason of the occurrence of an Event of Default (including the reasonable compensation and expenses and disbursements of its counsel and of all persons not regularly in its employ) except any such expense, disbursement or advance as may arise from its gross negligence, willful misconduct or bad faith. The Company also shall indemnify the Note Agent for, and hold it harmless against, any loss, liability or expense incurred without gross negligence or bad faith on the part of the Note Agent and arising out of or in connection with the acceptance or administration of this agency, including the reasonable costs and expenses of defending itself against any claim of liability in the premises.
