Common use of Expenses of Offerings Clause in Contracts

Expenses of Offerings. Notwithstanding anything to the contrary in this Agreement, the Company shall be responsible for any expenses associated with any sale of Registrable Securities by any member of the Prudential Affiliated Group or any member of the Athene Affiliated Group, except for the fees and expenses of Holders’ Counsel (except as set forth in subclause (x) of the definition of Registration Expenses) and Selling Expenses.
