The Fund has not distributed and, prior to the later to occur of (i) the Closing Date and (ii) completion of the distribution of the Securities, will not distribute any offering material in connection with the offering and sale of the Securities other than the Registration Statement, the Preliminary Prospectus, the Prospectus, the Sales Material (as defined below) or other materials permitted by the 1933 Act, the 1940 Act or the Rules and Regulations.

The Representatives shall provide notice to the Issuer and the Guarantor if the distribution of the Securities has not been completed on the Closing Date, and upon such later date as the distribution of the Securities has been completed.
