Common use of Expenses; Taxes Clause in Contracts

Expenses; Taxes. (1) Except as otherwise expressly set forth in this Agreement, whether or not the Transaction is consummated, all costs and expenses incurred in connection with this Agreement and the Transaction shall be borne by the Party incurring such costs and expenses. (2) Each of the Parties shall bear his/her/its own taxes incurred in connection with the execution of this Agreement and the Transaction in accordance with applicable Laws.
