Common use of Expiration Notice Clause in Contracts

Expiration Notice. Within ten (10) days following the expiration of the ROFR Holders’ First Refusal Period, the Company will give written notice (the “First Refusal Expiration Notice”) to the Proposed ROFR Seller and the ROFR Holders specifying either (i) that all of the Offered Shares were subscribed by the ROFR Holders exercising their rights of first refusal, or (ii) that the ROFR Holders have not subscribed for any or all of the Offered Shares in which case the First Refusal Expiration Notice will specify the Co-Sale Pro Rata Portion (as defined below) of the remaining Offered Shares (the “Remaining Shares”) for the purpose of the co-sale right of the Investors described in the Section 8.3 below.

Within ten (10) days following after the expiration of the ROFR HoldersShareholder’ First Refusal Overallotment Period, the Company will give written notice (the “First Refusal Expiration Notice”) to the Proposed ROFR Seller Selling Shareholder and the ROFR Holders Shareholder specifying either (i) that all of the Offered Shares were subscribed by the ROFR Holders Shareholder exercising their rights of first refusal, or (ii) that the ROFR Holders Shareholder have not subscribed for any or all of the Offered Shares in which case the First Refusal Expiration Notice will specify the Co-Sale Pro Rata Portion (as defined below) of the remaining Offered Shares (the “Remaining Shares”) for the purpose of the co-sale right of the Investors holders of the Preferred Shares described in the Section 8.3 4.3 below.
