Export Controls and Sanctions. Parties acknowledge that either Party’s Products may be subject to export control regulations and sanctions including U.S. trade and economic sanctions, U.S. export controls, European Commission regulations, United Nations Security Council resolutions, and other similar national or international regulations (“Export Controls and Sanctions”). Each Party represents and undertakes that it and its Affiliates (i) are not named on any sanctions or export-related restricted party list, including, but not limited to, the Specially Designated Nationals and Blocked Persons List, the Foreign Sanctions Evaders List, or the Sectoral Sanctions Identification List, maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury, or the Entity List, Denied Persons List, or Unverified List, maintained by the U.S. Department of Commerce, Bureau of Industry and Security (collectively, the “Prohibited Party Lists”), (ii) are not 50 percent or more owned or controlled by, or acting on behalf of, one of more parties identified on a Prohibited Party List, (iii) are not located, organized, or resident in any of the countries and territories subject to U.S. trade embargoes (currently, Crimea, Cuba, Iran, North Korea, and Syria) (collectively, the “Embargoed Countries”) will not knowingly export, reexport or transfer the Products (or any result therefrom) directly or indirectly, to any country or a foreign national of a country in violation of any applicable Export Controls and Sanctions and (iv) will not engage in activities that would cause the other Party or its Affiliates to be in violation of Export Controls and Sanctions. You represent and warrant that all Partner Products are authorized for distribution in all jurisdictions other than the Embargoed Countries under applicable Export Controls and Sanctions and that You have obtained any required authorizations from countries that mandate import authorizations for the Partner Products. You acknowledge that UiPath is relying upon Your representations in this section and UiPath may cease distribution of the Partner Products via the Marketplace if UiPath reasonably believes that such distribution is not authorized under applicable Export Controls and Sanctions.

Each Party represents and undertakes that it and its Affiliates (i) are not named on in violation of any sanctions or exportexport and re-related restricted party listexport laws and regulations of the United States of America, includingthe EU, the EU member states or any other relevant jurisdiction, including but not limited to, to the Specially Designated Nationals US Commerce Department Export Administration Regulations and Blocked Persons List, the Foreign Sanctions Evaders List, or the Sectoral Sanctions Identification List, maintained by the US Treasury Department Office of Foreign Assets Control of Regulations. The Buyer hereby certifies that it will not export, reexport, or transfer equipment, software, technology, and/or services to be delivered to the Buyer according to this Contract to the comprehensive sanctioned countries under the laws and regulations administered by the U.S. Department of the Treasury, or the Entity List, Denied Persons List, or Unverified List, maintained by the U.S. Department ’s Office of Commerce, Bureau of Industry and Security Foreign Assets Control (collectively, the “Prohibited Party ListsOFAC”), (ii) are not 50 percent or more owned or controlled by, or acting on behalf of, one of more parties identified on a Prohibited Party List, (iii) are not located, organized, or resident in any as of the countries and territories subject to U.S. trade embargoes (currently, Crimeadate of this Contract, Cuba, Iran, North Korea, Syria, and Syria) (collectively, the “Embargoed Countries”) Crimea Region of Ukraine. The Buyer commits to ensure that the Contract and implementation thereof will not knowingly exportinvolve, reexport or transfer the Products (or any result therefrom) directly or indirectly, any natural or legal person that is named on any relevant sanctions list, including but not limited to any country the OFAC List of Specially Designated Nationals and Blocked Persons (“SDN”) list, the US Bureau of Industry and Security Entity and Denied Persons lists, the OFAC Sectoral Sanctions (SSI) list, or the Consolidated list of persons, groups and entities subject to EU financial sanctions, in a foreign national of manner that would directly or indirectly cause a country in violation of any applicable Export Controls law. The Buyer commits to ensure that the present Contract and Sanctions and (iv) the implementation thereof will not engage in activities any way involve or benefit, directly or indirectly, any natural or legal person that is named on OFAC’s SDN list. Violation of this Section constitutes grounds for immediate termination of the Contract by [Company], notwithstanding any other provision of this Contract. If at any point performance of this Contract would cause the other Party or its Affiliates to be in constitute a violation of Export Controls the sanctions or export and Sanctions. You represent re-export laws and warrant that all Partner Products are authorized for distribution in all jurisdictions other than the Embargoed Countries under applicable Export Controls and Sanctions and that You have obtained any required authorizations from countries that mandate import authorizations for the Partner Products. You acknowledge that UiPath is relying upon Your representations in this section and UiPath may cease distribution regulations of the Partner Products via United States of America, the Marketplace if UiPath reasonably believes that such distribution is not authorized under applicable Export Controls EU, the EU member states or any other relevant jurisdiction, the Contract shall become null and Sanctionsvoid.
