Partner Responsibilities. In addition to other obligations set forth in this Agreement, Partner is responsible for the following:
13.1 End User Documentation. Partner will provide each End User with appropriate product warranty statements, registration cards, software license agreements and other materials that Dell includes with its shipments of Products. If applicable and as approved in writing by Dell, Partner is responsible for providing all similar information related to its addition or modification to the Products. Partner acknowledges and agrees that Dell is a Third Party beneficiary of the End User Agreement and may enforce the provisions thereof directly against the End User or through the Partner, and the Partner shall require the End User to acknowledge and agree to such in the End User Agreement.
Partner Responsibilities. A. All parties to this MOU will assume the responsibilities identified below, unless otherwise specified in this Article.
1. Make the career services provided under the Partner’s program available to individuals through the Area’s One-Stop delivery system in accordance with Article IV of this MOU.
2. Participate in cost-sharing activities as described in Article VI of this MOU and use a portion of funds made available to each partner’s program—to the extent not inconsistent with the federal law that authorizes each partner program—to:
a. Create and maintain a Comprehensive One-Stop Center (i.e. CareerForce Center); and
b. Provide the services required under WIOA Section 121(e).
3. Remain as a party to this MOU throughout the Agreement period identified in Article II in order to participate in a One-Stop Center.
4. Participate in the operation of the One-Stop Centers in accordance with the terms of this MOU.
5. Membership can be amended if necessary by law, rule, or regulation. Additional partners can be added to this MOU by written notice to all partners. Existing partners may add additional program responsibilities in the same manner. If any existing partner objects to the WIB in writing within thirty (30) days of receiving such notice, the issue will be referred to the WIB for resolution.
B. In addition to the minimum responsibilities required under WIOA as identified in Section A of this Article, Partner responsibilities include:
1. Provide priority of service to veterans and covered spouses for any qualified job training program pursuant to the Jobs for Veterans Act as prescribed in 38 USC 4215.
2. Compliance with WIOA and all federal, state, and local laws, rules, and policies applicable to parties in their respective roles under this MOU and as consistent with the rules that govern each partner’s respective program. Each partner expressly agrees to notify WIB of any changes to the rules governing its respective program that impact the partner’s performance under this MOU.
3. Each partner must ensure compliance with One-Stop Center policies and procedures published on the DEED policy website.
Partner Responsibilities. 4.1. Partner Support. You are solely responsible for support and maintenance for the Partner Products. You will provide and maintain complete and up to date information regarding the support You offer for the Partner Product in the Partner Product Listing, and you will provide Customers with all information necessary for their use of the Partner Products, including support contacts. You will use commercially reasonable efforts to provide telephone, web-based and/or email support to Customers for the paid Partner Products during normal business hours. You will ensure that any support options described in the Partner Product Listing remain available to Customers for as long as the relevant Partner Product is available in the Marketplace or until the expiration of the term of the applicable Partner Product Terms. You will provide to UiPath a current email address to which UiPath may direct inquiries from Customers regarding the Partner Products. UiPath has no responsibility to handle any Customer support requests or any complaints about Partner Products.
Partner Responsibilities. In addition to any and all obligations required by law or stated elsewhere in this Partnership Agreement, the Partner will undertake the following responsibilities pursuant to this Agreement.
a. The Partner will be fully qualified and will have all licenses, permits, certificates, registrations, and approvals needed to perform its obligations under this Agreement.
b. The Partner will not charge any student a fee or tuition for participating in the program or the receipt of services without advance written approval of the District or the designated District Liaison.
c. The Partner shall immediately notify the District Liaison of any changes that may affect the performance of the services provided under this Agreement.
d. The Partner shall attach to this Agreement the list of names and personal contact information of each individual staff\volunteer performing any service; and immediately notify the District when a staff\volunteer is added or removed from the list provided to the District; and from time to time or upon request, provide updated information or changes made of the Partner’s staff\volunteer list. See the attached Exhibit B
Partner Responsibilities. Partner will treat as Confidential Information any and all Learner data or information received from Coursera. In connection therewith, Partner agrees that it shall not use Learner emails or other information received hereunder to directly promote any massive open online course on a platform that is competitive to Coursera.
Partner Responsibilities. 4.1 The Partners have stated their commitment to developing Integrated Commissioning whilst ensuring the financial health of both Partners; and of other organisations in the local health and wellbeing economy.
4.2 The Partners recognise their obligation to comply with statute and regulations.
4.3 The Partners recognise that each Partner’s ultimate responsibility for service provision and delivery is not changed. However, they will delegate decision making and administration, where this improves the way that services are commissioned and where it is feasible.
4.4 The Partners recognise specific responsibilities regarding services included within Integrated Commissioning: Obligations and commitments to the residents of; and patients registered within City of London; Obligations to the Provider community; delivering pace of change whilst creating a sustainable provider market.
Partner Responsibilities. At all times during the term of and in accordance with this Agreement and at its own cost, Partner shall (a) ensure that Customers receive, are aware of, and accept the terms and conditions of the XXXX before accessing or using the Services as evidenced by execution of the acknowledgment set forth in Exhibit B which shall be included as an attachment submitted with any net new Customer’s Order, and will promptly notify Lucid of any unauthorized use of the Services of which Partner becomes aware,
Partner Responsibilities. Data Partner agrees to the following:
a) Provide name and email address for one staff member to obtain log-in credentials and immediately to provide ZTT with any updates when staff change.
b) Text4baby enrollment data can be used for the following purposes only:
a) For internal assessment of Text4baby promotional strategies by Data Partner with the intent of improving Data Partner’s outreach strategies and setting goals.
b) For publication in media when only total values are shared (log-in credentials should not be provided to members of the media).
Partner Responsibilities. During the term of this RSA, Partner will be responsible for the following:
(i) ensuring that the Exempt App is listed in Shopify’s App Store;
(ii) ensuring that the Exempt App meets all performance, support, security and privacy criteria required in terms of the Program, located at: xxxxx://xxxx.xxxxxxx.xxx/en/partners/plus-app-certification-program/certification, as may be updated from time to time;
(iii) subject to the restrictions set out above, displaying Shopify Badges on the relevant Partner website in accordance with the display guidelines, standards and other requirements prescribed by Shopify in writing from time to time; and
(iv) providing a dedicated Partner channel/relationship manager.
Partner Responsibilities. Partner (i) must keep its passwords secure and confidential; (ii) is solely responsible for Partner Data and all activity in its account in the Service; (iii) must use commercially reasonable efforts to prevent unauthorized access to its account and notify Liongard promptly of any such unauthorized access; and (iv) may use the Service only in accordance with the Service’s user guide and applicable law.
