EXPRESS PROVISIONS. Any waiver or any consent, approval or other matter which by the express terms of this Agreement or any other Finance Document is to be given by all of the Banks will not be effective unless all of the Banks have agreed thereto but, subject thereto, may be given by the Facility Agent on behalf of all of the Banks.
EXPRESS PROVISIONS. Any consent or other matter which, by the express terms of any Senior Finance Document, is to be given by all the Lenders will not be effective unless all the Lenders have agreed to it but, subject to the agreement of all the Lenders having been obtained, may be given by the Facility Agent on behalf of all the Lenders.
EXPRESS PROVISIONS. Notwithstanding any of the foregoing provisions, the Custodian, in the administration of the Securities Account, is to be bound solely by the express provisions of this Agreement, and such further written and signed Directions as the appropriate party or parties may, under the conditions herein provided, deliver to the Custodian. The Custodian shall have no duties or obligations under any other agreement, notwithstanding that such other agreement may be referred to in this Agreement. The Custodian shall be under no obligation to enforce the Pledgor's or the Secured Party’s obligations under this Agreement, except as otherwise expressly provided or Directed pursuant hereto in accordance with the terms hereof.
EXPRESS PROVISIONS. 17.1 References to the ‘CCG’ or the ‘Council’ shall include their respective statutory successors in title obligations undertaken or to be undertaken by more than a single person shall be undertaken jointly and severally; 17.1.1 references to any statute or statutory provision shall be deemed to refer to any modification or re-enactment thereof for the time being in force whether by statute or by directive or regulation which is intended to have direct application within the United Kingdom; 17.1.2 the headings and the index are inserted for convenience only and shall be ignored in interpreting or in the construction of the terms of this Agreement; 17.1.3 each obligation on the Partners shall be a direct obligation or an obligation to procure as the context requires; 17.1.4 any reference to “indemnity” or “indemnify” or other similar expressions shall mean that the relevant party indemnifies, shall indemnify and keep indemnified and hold harmless the other party; and 17.1.5 any reference to a person shall be deemed to include any permitted transferee or assignee of such person and any successor to that person or any person who has taken over the functions or responsibilities of that person but without derogation from any liability of any original party to this Agreement. 17.2 Nothing in this Agreement shall prejudice or affect: 17.2.1 the rights and powers, duties and obligations of the Partners in the exercise of their functions as public bodies or in any other capacity; 17.2.2 the powers of the Council to set, administer and collect charges for any Health-Related Function; or 17.2.3 the Council's power to determine and apply eligibility criteria for the purposes of assessment under Section 9 and 13 of the Care ▇▇▇ ▇▇▇▇.
