Facility Inspection. The School is responsible for the initiation and provision of inspections and an occupational license as required. The School shall deliver to the Sponsor within fourteen (14) calendar days of the date of the inspection, copies of any and all facility inspections performed at any time by local governments or any other governmental bodies having jurisdiction.
Facility Inspection. If based on a facility inspection or audit by RELIANT as provided herein, or based on a specific observation made by any Regulatory Authority following an audit or inspection, RELIANT determines and notifies PRONOVA that a shipment or portion of a shipment was manufactured under conditions that materially deviated from the Act, cGMPs or Regulatory Requirements, the Parties shall agree upon the appropriate action to be taken in conformance with the FDA483 or the action letter received from FDA by PRONOVA relating to the API, the Product or any Additional Product. If rejection of API is warranted, PRONOVA shall replace, at no cost to RELIANT, that portion of the API shipment that was manufactured under conditions materially deviating from the Act, cGMPs or Regulatory Requirements. Any non-conforming portion of any shipment shall be disposed of as directed by PRONOVA, at PRONOVA’s expense. Except in instances of gross negligence or intentional misconduct by or on behalf of PRONOVA, RELIANT agrees that, in the event that PRONOVA replaces all of the non-conforming portion of such shipment within sixty (60) days of the determination and notification to PRONOVA that such shipment was manufactured under conditions materially deviating from the Act, cGMPs or Regulatory Requirements, and otherwise bears the expenses contemplated by this Section 5.10, the remedies provided for in this Section 5.10 shall be RELIANT’s sole remedies for the fact such shipment was manufactured under conditions materially deviating from the Act, cGMPs or Regulatory Requirements. In the event that PRONOVA fails to replace all of the so deviating portion of such shipment within sixty (60) days of the determination and notification to PRONOVA contemplated by this Section 5.10, such failure shall constitute a Failure to Supply and shall give rise to the rights and obligations of the Parties under Section 5.12.

Facility Inspection. BURNET agrees to allow periodic inspections of the facilities by XXXX law enforcement personnel. The reports of state or federal inspections of the facilities will be provided to XXXX upon request.
Facility Inspection. Consistent with Good Utility Practices and unless otherwise agreed to by the Parties, all Interconnection Facilities shall be complete prior to the initial synchronization of the Facility with the Georgia Power Electric System. Within fifteen (15) Days after written notice is given to Georgia Power by Generator, an inspection shall be performed by Georgia Power to insure the proper installation and operation of the interconnection protective devices. The inspection shall include, without limitation, verification: (a) that the installation of Generator's equipment at the Facility is in accordance with the interconnection study; and (b) of proper voltage and phase rotation.
Facility Inspection. Project Manager is solely responsible for the operation and maintenance of the Facility. PGE has the right, upon reasonable prior notice to Project Manager, to inspect the Facility to confirm that the Project Manager is operating the Facility in accordance with the provisions of this Agreement, provided that PGE is not, by reason of its decision to inspect or not to inspect the Facility, or by any action or inaction taken with respect to any such inspection, assuming any responsibility for any liability or occurrence arising from the operation and maintenance by Project Manager of the Facility.
Facility Inspection. Rosetta will have reasonable access at reasonable times during normal business hours, subject to the parties' mutual agreement, to Agilent's facilities for the purpose of inspecting Agilent's testing and manufacturing processes to determine compliance with the Quality Testing and Quality Assurance Strategy, or to review any documents relating to the Array Products provided under this Agreement. Access for such purposes will not be unreasonably withheld.
Facility Inspection. SUPPLIER shall from time to time permit DIRECTED or its agent to inspect the facilities, conditions regarding quality assurance, records and documents of SUPPLIER relating to the Products, and of SUPPLIER's suppliers and subcontractors, in order for DIRECTED to determine whether the Products are being manufactured under appropriate quality controls; provided, however, that such inspections will be conducted during normal working hours with prior notification to SUPPLIER. Any information disclosed to or observed by DIRECTED or its agent during such inspections shall be deemed to be proprietary information within the meaning of and subject to the provisions of Article 10 of this Agreement.
Facility Inspection. Vendor shall, whenever reasonably requested by Blue Coat, permit Blue Coat, or a third party acting on behalf of Blue Coat, the opportunity to inspect (at Vendor’s facility) the processes and procedures used by Vendor to perform its obligations under this Agreement. Blue Coat shall provide Vendor with at least three (3) business days notice prior to the visit.
Facility Inspection. The Adopter aggress to permit GARD, upon reasonable notice and at reasonably convenient times to visit The Adopter's home, or such facility wherein Adopted Pet is housed, for the purpose of verifying that Adopted Pet is in healthy condition, and in compliance with all of the terms and conditions of this Agreement.
