Quality check lists and test protocols for all equipment, materials, and individual components shall be submitted by Seller prior to and during the factory tests. All equipment, materials, and components shall be “routine” or “type”-tested in the factory in accordance with the applicable standards in keeping with Prudent Industry Practice. The frequency of testing shall be as agreed between Seller and Purchaser prior to the NTP Date. Type tests shall not be repeated if type test certificates of identical equipment designed and fabricated to a specification identical to that of the Project are available. Any proposed type test certificates must be submitted to Purchaser for review and approval. The following sequence shall be included in Seller’s QA/QC Plan provided in accordance with Article 5 of the Agreement: Seller shall keep a “Three-Month Look Ahead Inspection Schedule,” which shall be updated on a regular basis as part of the monthly report to be delivered under Section 5.11 of the main body of the Agreement. Seller shall provide Purchaser notice of its intent to inspect prior to any inspection as detailed in the Agreement. Prior to notifying Purchaser of its intent to inspect, Seller shall have issued and obtained Purchaser’s approval of the relevant inspection test plan (ITP) and all other technical documentation relevant to the inspection. Purchaser will notify Seller of Purchaser’s intent to attend the inspection. Purchaser may contract with third party inspectors to attend the inspection with, or on behalf of, Purchaser. The frequency FATs may only be commenced if the Contracting Parties have reached an agreement on the contents of the testing procedures and the checks to be performed. During the FAT Seller may not carry out any material (whether software or architecture) modifications to the equipment, otherwise the FAT shall be as agreed between Seller deemed unsuccessful. Equipment to be delivered and Purchaser prior system parts shall be identified by their production serial number and handled uniquely in the course of the FAT. Tests shall be performed for each piece of Equipment and the results shall be recorded in a report. If the Equipment is found not to conform to the NTP Daterequirements established for the FAT, Seller shall promptly take measures to remedy the defect and repeat the FAT at a mutually agreed time after the FAT being declared unsuccessful. Type tests If the FAT is interrupted due to an unexpected failure of a hardware component, Seller shall replace the defective component and continue the test. System parts containing software-driven components may be restarted once after failure of the program during the FAT. Such events shall not be repeated if type test certificates of identical equipment designed and fabricated to deemed as a specification identical to that failure of the Project are available. Any proposed type test certificates must FAT and will not require the entire FAT to be submitted to Purchaser for review and approvalrepeated. The following sequence FATs shall be included considered successful, if the process is undisturbed, and in the course of the process it can be ascertained that the Equipment is suitable for proper use and comply with the parameters and functionalities specified in Technical Specifications. If the repeated FAT is unsuccessful as well, the Customer shall have the right to cancel or terminate the Contract in accordance with Article 5 Section 22.2 of the Agreement: Contract. The Customer shall have the right, at its own discretion, to declare the FAT successful even if, according to the Customer, the Equipment have minor defects or deficiencies, provided that the Seller undertakes the obligation to fully repair all defects and deficiencies at its own cost within the time limit set by the Customer. Should the Customer choose not to cancel the Contract as per the present Section, the Contracting Parties shall keep a “Three-Month Look Ahead Inspection Schedule,” which repeat the FAT according to the above provisions. Customer shall have the right to cancel or terminate the Contract after any further unsuccessful FAT. A report shall be updated prepared on a regular basis as part of the monthly report to be delivered under Section 5.11 of the main body of the Agreement. Seller shall provide Purchaser notice of its intent to inspect prior to any inspection as detailed in the Agreement. 9.2. Quality check lists and test protocols for all equipment, materials, and individual components shall be submitted by Seller prior to and during the factory tests. All equipment, materials, and components shall be “routine” or “type”-tested in the factory conducted in accordance with Chapter 3 (Acceptance Tests) in the applicable standards in keeping with Prudent Industry PracticeSOW. The frequency of testing Supplier shall be as agreed between Seller and Purchaser provide the IAA with two (2) weeks advance notice prior to the NTP Date. Type tests shall not be repeated if type test certificates of identical equipment designed and fabricated to a specification identical to that expected date of the Project FAT. At least one week before the scheduled FAT the supplier will provide the IAA with the final inspections report conducted by it for each Belt Loader.
9.3. If as a result of any inspection or test carried out under this section 9, the IAA's representative has reason to believe that the Belt Loaders are availablenot in full compliance with the Technical Specifications specified in the SOW, it shall inform the Supplier accordingly in writing and the Supplier will be required to take such steps as may be necessary to ensure such compliance within no more than 14 working days. Any proposed type test certificates must Should such event occur, a new series of FAT shall be submitted performed (if so required by the IAA) after all rejects have been rectified.
9.4. All FAT shall be completed to Purchaser for review the IAA's satisfaction prior to shipment of the Belt Loaders, and approvalany failure by the Supplier to meet the requirements specified herein shall be regarded as a fundamental breach of this Contract.
9.5. All expenses relating to the performance of the FAT shall be fully borne by the Supplier.
9.6. The following sequence costs and expenses associated with the IAA's representatives presence at Supplier’s facility during the FAT, including traveling and living expenses, shall be included in Sellerborne by the IAA. Notwithstanding the above, if the IAA's representatives shall be required to extend their trip or return to the Supplier’s QA/QC Plan provided in accordance with Article 5 facility to conduct an additional FAT due to failure of the Agreement: Seller shall keep a “Three-Month Look Ahead Inspection Schedule,” which FAT, then all additional expenses with respect to the IAA's representatives presence at Supplier’s facility, during the additional series of tests held, including traveling and accommodation expenses, shall be updated on a regular basis as part borne by the Supplier.
9.7. Without derogating from IAA's right under section 9, should the IAA decide not to conduct the FAT, the Supplier shall perform its internal final inspection to ensure compliance of the monthly report to be delivered under Section 5.11 of Belt Loader with all the main body of the Agreement. Seller shall provide Purchaser notice of its intent to inspect prior to any inspection as detailed in the Agreement. Prior to notifying Purchaser of its intent to inspect, Seller shall have issued technical specification and obtained Purchaser’s approval of the relevant inspection test plan (ITP) and all other technical documentation relevant submit to the inspection. Purchaser will notify Seller of Purchaser’s intent IAA the test reports in writing, and unless the IAA has submitted any rejection with respect to attend such report, the inspection. Purchaser may contract with third party inspectors to attend the inspection with, or on behalf of, Purchaser. Upon completion of the inspection, Seller Belt Loaders shall issue an inspection test report summarizing the results of the inspection, including any reports generated be deemed accepted by the manufacturer, IAA for review and approval by Purchaser.
