Common use of FACTS Clause in Contracts

FACTS. The Seller represents and warrants to PGE as follows: (i) The Seller is the sole author and creator of the Literary Property. (ii) The Literary Property was registered for copyright in the name of CRIMSON, under copyright registration number (Pending) in the Office of the United States Register of Copyrights, Washington, D.C. (iii) No motion picture or dramatic version of the Literary Property, or any part of it, has been manufactured, produced, presented or authorized; no radio or television development, presentation, or program based on the Literary Property, or any part of it, has been manufactured, produced, presented, broadcast or authorized; and no written or oral agreements or commitments at all with respect to the Literary Property, or with respect to any rights therein have been made or entered by or on behalf of the Seller (except with respect to the Publication of the Literary Property as set forth above).

(iii) D.C. No motion picture Motion Picture or dramatic version of the Literary Property, or any part of it, has been manufactured, produced, presented or authorized; no radio or television development, presentation, presentation or program based on the Literary Property, or any part of it, has been manufactured, produced, presented, broadcast or authorized; and no written or oral agreements or commitments at all with any respect to the Literary Property, Property or with respect to any rights therein right therein, have previously been made or entered by or on behalf of the Seller (except with respect to the Publication publication of the Literary Property as set forth above).

No motion picture Motion Picture or dramatic version of the Literary Property, or any part of it, has been manufactured, produced, presented or authorized; no radio or television development, presentation, presentation or program based on the Literary Property, or any part of it, has been manufactured, produced, presented, broadcast or authorized; and no written or oral agreements or commitments at all with any respect to the Literary Property, Property or with respect to any rights therein right therein, have previously been made or entered by or on behalf of the Seller (except with respect to the Publication publication of the Literary Property as set forth above).
