The Factual Findings clause establishes the agreed-upon facts between the parties as the basis for their contract or legal agreement. In practice, this clause lists specific events, circumstances, or data that both sides accept as true, such as the existence of a prior relationship, the completion of certain work, or the occurrence of a triggering event. By clearly identifying these facts, the clause helps prevent future disputes over what was assumed or known at the time of the agreement, ensuring clarity and reducing the risk of misunderstandings.
