Common use of Failure of Condition Clause in Contracts

Failure of Condition. If all of the conditions to Closing set forth above in Section 5.1.1 have not been satisfied by the Closing Date, provided the same is not the result of Developer’s failure to perform any obligation of Developer hereunder, Developer shall have the option to: (i) waive such condition and proceed to Closing hereunder; (ii) terminate this Agreement by written notice to District, whereby District will release the Initial Deposit to Developer and the Parties shall be released from any further liability or obligation hereunder except those that expressly survive termination of this Agreement; or (iii) delay Closing for up to three (3) months to permit District to satisfy the conditions to Closing set forth in Section 5.1.1. In the event Developer proceeds under clause (iii), Closing shall occur within thirty (30) days after the conditions precedent set forth in Section 5.1.1 have been satisfied, but if such conditions precedent have not been satisfied by the end of the three (3) month period, provided the same is not the result of Developer’s failure to perform any obligation of the Developer hereunder, the Developer may again proceed under clause (i) or (ii) above. The foregoing notwithstanding, Closing shall not occur after the Outside Closing Date. If Closing has not occurred by such date, this Agreement shall immediately terminate and be of no further force and effect, except those provisions that expressly survive termination.

Failure of Condition. If all of the conditions to Closing set forth above in Section 5.1.1 5.2.1 have not been satisfied by the Closing Date, provided the same is not the result of DeveloperDistrict’s failure to perform any obligation of Developer District hereunder, Developer District shall have the option to: option, at its sole discretion, to (i) waive such condition and proceed to Closing hereunder; (ii) terminate this Agreement by written notice to District, whereby Developer and the District will release shall be entitled to keep the Initial Deposit to Developer and (including all accrued interest thereon, if the Initial Deposit is a Cash Deposit), whereupon the Parties shall be released from any further liability or obligation hereunder except those that expressly survive termination of this Agreement; or , (iiiii) delay Closing for up to three (3) months months, to permit District Developer to satisfy the conditions to Closing set forth in Section 5.1.15.2.1, or (iii) waive the condition and proceed to Closing. In the event Developer District proceeds under clause (iiiii), Closing shall occur within thirty (30) days after the conditions precedent set forth in Section 5.1.1 5.2.1 have been satisfied, but if such conditions precedent have not been satisfied by the end of the three (3) month period, provided the same is not the result of Developer’s failure to perform any obligation of the Developer hereunder, the Developer District may again proceed under clause clause (i) or (ii) above, in its sole discretion. The foregoing notwithstanding, Closing shall not occur after the Outside Closing Date. If Closing has not occurred by such date, this Agreement shall immediately terminate and be of no further force and effect, except those provisions that expressly survive termination.

If all of the conditions to Closing set forth above in Section 5.1.1 5.2.1 have not been satisfied by the Closing Date, provided the same is not the result of DeveloperDistrict’s failure to perform any obligation of Developer District hereunder, Developer District shall have the option to: option, at its sole discretion, to (i) waive such condition and proceed to Closing hereunder; (ii) terminate this Agreement by written notice to District, whereby Developer and the District will release shall be entitled to keep the Initial Deposit (including all accrued interest thereon, if the Initial Deposit is a Cash Deposit), and may bring legal claim for any damages incurred by the District in the process and/or an equitable claim to Developer and enforce the Parties shall be released from any further liability or obligation hereunder except those that expressly survive termination provisions of this Agreement; or , (iiiii) delay Closing for up to three (3) months months, to permit District Developer to satisfy the conditions to Closing set forth in Section 5.1.15.2.1, or (iii) waive the condition and proceed to Closing. In the event Developer District proceeds under clause (iiiii), Closing shall occur within thirty (30) days after the conditions precedent set forth in Section 5.1.1 5.2.1 have been satisfied, but if such conditions precedent have not been satisfied by the end of the three (3) month period, provided the same is not the result of Developer’s failure to perform any obligation of the Developer hereunder, the Developer District may again proceed under clause clause (i) or (ii) above, in its sole discretion. The foregoing notwithstanding, Closing shall not occur after the Outside Closing Date. If Closing has not occurred by such date, this Agreement shall immediately terminate and be of no further force and effect, except those provisions that expressly survive termination.

If all of the conditions to Closing set forth above in Section 5.1.1 have not been satisfied by the Closing Date, provided the same is not the result of Developer’s failure to perform any obligation of Developer hereunder, Developer shall have the option to: (i) waive such condition and proceed to Closing hereunder; (ii) terminate this Agreement by written notice to District, whereby District will release the Initial Deposit to Developer and the Parties shall be released from any further liability or obligation hereunder except those that expressly survive termination of this Agreement; or (iii) delay extend the Closing for up to three (3) months a Closing Date agreed upon by the parties in writing to permit District to satisfy the conditions to Closing set forth in Section 5.1.1. In the event Developer proceeds under clause (iii), Closing shall occur within thirty (30) days after the and such if such conditions precedent set forth in Section 5.1.1 have been satisfied, but if such conditions precedent have not been satisfied by the end of the three (3) month periodextended Closing Date, provided the same is not the result of Developer’s failure to perform any obligation of the Developer hereunder, the Developer may again proceed under clause (i) or (ii) above. The foregoing notwithstanding, above or the Parties may extend the Closing shall not occur after the Outside Closing DateDate in writing. If Closing has not occurred by such datethe Closing Date as extended by the Parties in writing, this Agreement shall immediately terminate and be of no further force and effect, except those provisions that expressly survive termination.

In the event Developer proceeds under clause (iii), Closing shall occur within thirty (30) days after the conditions precedent set forth in Section 5.1.1 have been satisfied, but if such conditions precedent have not been satisfied by the end of the three (3) month period, provided the same is not the result of Developer’s failure to perform any obligation of the Developer hereunder, the Developer may again proceed under clause (i) or (ii) above. The foregoing notwithstanding, Closing shall not occur after the Outside Closing Date. If Closing has not occurred by such date, this Agreement shall immediately terminate and be of no further force and effect, except those provisions that expressly survive termination.

In the event Developer District proceeds under clause (iiiii), Closing shall occur within thirty (30) days after the conditions precedent set forth in Section 5.1.1 5.2.1 have been satisfied, but if such conditions precedent have not been satisfied by the end of the three (3) month period, provided the same is not the result of Developer’s failure to perform any obligation of the Developer hereunder, the Developer District may again proceed under clause (i) or (ii) above, in its sole discretion. The foregoing notwithstanding, Closing shall not occur after the Outside Closing Date. If Closing has not occurred by such date, this Agreement shall immediately terminate and be of no further force and effect, except those provisions that expressly survive termination.
