Failure of Conditions Generally. This Transaction may be terminated by Seller in the event that the condition set forth in Section [10.1] is not satisfied or waived by Seller in accordance with such Section or by Buyer in the event that the conditions set forth in Sections [10.1] or [10.2] are not satisfied or waived by Buyer in accordance with such Sections; provided, however, that neither Party may terminate this Transaction pursuant to this Section [10.5] if such Party’s failure to fulfill its obligations with respect to Section [10.3] shall be the reason that such condition shall not have been satisfied.

Failure of Conditions Generally. This Agreement may be terminated by Seller in the event that the condition set forth in Section [23.1] is not satisfied or waived by Seller in accordance with such Section or by Buyer in the event that any of the conditions set forth in Section [23.1] or [23.2] is not satisfied or waived by Buyer in accordance with such Sections; provided, however, that neither Party may terminate this Agreement pursuant to this Section [23.3] if such Party’s failure to fulfill its obligations with respect to Section [15.7] shall be the reason that such condition shall not have been satisfied; and provided, further, that in the event that any of the conditions precedent set forth in Sections [23.2 (a)] and [(23.2(b)] are not satisfied on or before the date that is 270 days after the Effective Date, Buyer may terminate this Agreement only for the Remaining Term and (a) the Parties (a) shall have no further obligations to each other with respect to the Remaining Term and (b) the Parties willsha ll remain obligated to perform in accordance with the terms of this Agreement for the initial Contract Year regardless of the outcome of any event described in Sections [23.2(a)] and [23.2(b)].
