Failure to Adjust Exercise Price; Failure to Comply With Dispute Resolution Procedures. The Company shall have failed to comply in good faith with the Dispute Resolution Procedures (as defined herein) or shall have failed to adjust the Exercise Price as required hereunder following a Dilutive Issuance, a Milestone Event, or otherwise (after any applicable Dispute Resolution Procedure required herein) ), and such failure continues for ten (10) Business Days after the Holder provides written notice to the Company that such performance by the Company is past due.
