Failure to Complete Development Tasks. If Generator is unable to complete the Development Tasks set forth in this Article IV by the later of (a) four hundred fifty (450) days after the Effective Date, or (b) one hundred and twenty (120) days of the Notice to Proceed with Design if applicable, then either Party shall have the option to terminate this Agreement upon forty-five (45) days’ written notice to the other Party without triggering the default provisions of this Agreement or any liability under this Agreement.
