Failure to Meet Conditions Precedent. In the event that any of the aforementioned conditions are not met prior to or as of the Closing Date, Seller may, at its sole option, terminate this Agreement, in which case it shall become null, void and of no effect after Seller provides written notice of such failure to Buyer on the Closing Date and Buyer's failure to cure the same within ten (10) days following receipt of such written notice from Seller.
