Common use of Failure to Meet Transition Milestones Clause in Contracts

Failure to Meet Transition Milestones. (i) Neither the Transition Services nor the activities and deliverables associated with individual Transition Milestones shall be deemed complete until DIR's and/or DIR Customer's (as applicable) Acceptance of such activities and deliverables. (ii) If Service Provider fails to meet a Transition Milestone that is identified in this Agreement as a Critical Deliverable, Service Provider shall pay DIR the applicable Deliverable Credits specified in Exhibit 3 or the Transition Plan that are associated with such Transition Milestone as more particularly described in Section 7.2(b).

(ii) If Service Provider fails to meet a Transition Milestone that is identified in this Agreement as a Critical Deliverable, Service Provider shall pay DIR TxDOT the applicable Deliverable Credits specified in Exhibit 3 or in the Transition Plan that are associated with such Transition Milestone as more particularly described in Section 7.2(b4.2(b).

(i) Neither the Transition Services nor the activities and deliverables associated with individual Transition Milestones shall be deemed complete until DIR's and/or DIR Customer's (as applicable) Triad’s Acceptance of such activities and deliverablesdeliverables in accordance with Section 4.6. (ii) If Service Provider Subject to Sections 10.2 and 18.2, if Supplier fails to meet a Transition Milestone that is identified in this Agreement as a Critical Deliverable, Service Provider Supplier shall pay DIR Triad the applicable Deliverable Credits specified in Exhibit 3 or the Transition Plan that are associated with Schedule C for such Transition Milestone as more particularly described in Section 7.2(b)Milestone.
