Failure to Obtain Certain Consents. Nothing contained in this Agreement shall be construed as an attempt to agree or an agreement to assign any Acquired Asset, including any Contract, agreement or license, which is at law non-assignable or which is non-assignable without the Requisite Approval of another Person, unless such Requisite Approval shall be given. Seller shall use all commercially reasonable efforts to obtain all Requisite Approvals of such Persons to the assignment of any such Acquired Assets. If the Requisite Approvals of any Person to the assignment of any Acquired Asset cannot be obtained, or if any attempted assignment of any Acquired Asset would be ineffective or would adversely affect, as applicable, Seller's (or its Subsidiaries', as applicable) rights thereunder so that Buyer would not in fact receive all such rights, Seller shall cooperate in any arrangement Buyer may reasonably request to provide for Buyer the benefit of any such Acquired Asset, including enforcement for the benefit of Buyer of any and all of Seller's (or its Subsidiaries', as applicable) rights against any other party thereto arising out of the breach or cancellation thereof by such party or otherwise.

Failure to Obtain Certain Consents. Nothing contained in this Agreement shall be construed as an attempt to agree or an agreement to assign any Business Contract, including any contract, agreement or license, which is at law non-assignable or which is non-assignable without the Requisite Approval of another Person, unless such Requisite Approval shall be given. Sellers and Buyer shall use all commercially reasonable efforts to obtain all Requisite Approvals of such Persons to the assignment of the Assigned Contracts, the Prime Leases, and, if and when applicable, the U.S. 59
Failure to Obtain Certain Consents. Notwithstanding anything else contained in this Agreement, the parties hereto acknowledge and agree that the failure to obtain the Consents set forth in Items 1 and 2 of Schedule 3.3 shall not be deemed a failure to meet the conditions to Closing set forth in Sections 7.1(e) and 7.2(c), provided that the Purchaser Group and Seller shall have complied with Section 6.2 hereof.   • Certain Consents To the extent that Seller's rights under any ---------------- agreement, Contract, commitment, lease, Permit, Real Property Lease or other Acquired Asset to be assigned to Purchaser hereunder may not be assigned without the consent of another person which has not been obtained prior to the Closing Date, and which is material to the ownership, use or disposition by Purchaser of an Acquired Asset, this Agreement shall not constitute an agreement to assign the same if an attempted assignment would constitute a breach thereof or be unlawful, and Seller, at its expense, shall use its reasonable good faith efforts to obtain any such required consent(s) as promptly as possible. If any such consent shall not be obtained or if any attempted assignment would be ineffective or would impair Purchaser's rights under the Acquired Asset in question so that Purchaser would not in effect acquire the benefit of all such rights, Seller, to the maximum extent permitted by law and the specific Acquired Asset and at Seller's expense, shall act after the Closing as Purchaser's agent in order to obtain for the Purchaser the benefits thereunder, and Seller shall cooperate, to the maximum extent permitted by law and the specific Acquired Assets with Purchaser in any other reasonable arrangement designed to provide such benefits to Purchaser, including any sublease or subcontract or similar arrangement. The obligation of Seller hereunder shall not be in limitation of Purchaser's right to terminate this Agreement as provided in Section 13.1(b) hereof in accordance with the terms thereof, at or prior to the Closing Date.
