Failure to Satisfy Conditions Precedent to Forced Closing. In the event that any of the conditions precedent set forth in subsections 5.5 hereof shall not have been fulfilled and/or performed as of the Closing Date, each of the Purchasers may, at its option, either (i) advise the Company that it refuses to proceed with the exchange of its Canco Shares or (ii) proceed with the exchange of its Canco Shares, in either case, without prejudice to its rights, recourses and remedies. In the event, however, that one or more but less than all of the Purchasers exercises the option set forth in (i) above, then the Company shall have the right not to proceed with the Closing of the Forced Exchange of the Canco Shares held by the other Purchasers who wished to proceed therewith, in which case such other Purchasers shall be deemed to have exercised the option set forth in (i) above.

  • Failure to Satisfy Conditions Precedent If any Lender makes available to the Administrative Agent funds for any Loan to be made by such Lender as provided in the foregoing provisions of this Article II, and such funds are not made available to the Borrower by the Administrative Agent because the conditions to the applicable Credit Extension set forth in Article IV are not satisfied or waived in accordance with the terms hereof, the Administrative Agent shall return such funds (in like funds as received from such Lender) to such Lender, without interest.
