Federal and State Taxes. Participant agrees to pay to the Company, or to make arrangements satisfactory to the Committee to pay to the Company, as provided in this Option, all federal, state, or local taxes of any kind imposed on the Participant and required by law to be withheld by the Company in connection with the transactions contemplated by this Agreement.
