Federal Express Account. On or within one business day following the Closing Date, Seller and Purchaser shall ensure that the Federal Express account associated with the Diagnostic Business is transferred to Purchaser, and Purchaser shall cooperate with Seller on a timely basis to the extent necessary to enable such transfer. All charges to such account occurring after October 5, 2010 shall be Purchaser’s liability and Purchaser shall, within five (5) business days of notification by Seller, reimburse Seller for such charges to the extent they are invoiced to Seller.
