Fees and Expenses in Event of Termination. In the event of a termination of this Agreement or abandonment of the purchase and sale of the Acquired Assets prior to the Closing, each Party shall pay the fees and expenses of its own advisors, including accountants and attorneys, in preparing and negotiating this Agreement.
