Fees and Expenses of Brokers and Others. Neither Richfood --------------------------------------- nor any of its affiliates (a) has had any dealings, negotiations or communications with any broker or other intermediary in connection with the transactions contemplated by this Agreement, (b) is committed to any liability for any brokers' or finders' fees or any similar fees in connection with the transactions contemplated by this Agreement or (c) has retained any broker or other intermediary to act on its behalf in connection with the transactions contemplated by this Agreement, except that Richfood has engaged DLJ to represent it in connection with such transactions and shall pay all of DLJ's fees and expenses in connection with such engagement.
