Fees and Subscription Terms. The basic version of the Video Editor can be used completely free of charge. We also have a range of subscription options to best meet your needs. You can opt to subscribe for our Pro version to access Pro services and content. Our Fees are subject to different subscription plans, gift plans and promotions, and we, therefore, reserve the right to update our Fees from time to time. You acknowledge that, if we change the Fees, this will not affect your existing subscription, therefore, if you have signed up for subscription at a certain Fee, any Fee changes will not affect any current subscription or any Renewals. Please note that if you have purchased the subscription through Apple iTunes or Video Editor application, the following conditions apply for: • Confirm subscription: Payment will be charged to iTunes Account at confirmation of purchase • Manage subscriptions: Users can manage or unsubscribe in iTunes & App Store account management in the phone system settings. • Auto-renewal: Apple iTunes account will be charged for renewal within 24-hours prior to the end of the current subscription period. To cancel the renewal, please turn off auto-renew manually at least 24-hours before the end of the period. No cancellation of the current subscription is allowed during the active subscription period. • Free trial: Free trial (if any) will automatically renew the Pro version after expiration. You can cancel the renewal by going to the Account Settings before the trial ends. If you pay to subscribe to the Pro version before the trial period ends, the current trial will end automatically. Users should understand the consumer price and items in advance when consuming. If you are a minor, please make the purchase with the approval of your guardian. The rights obtained by the user after payment shall not be inherited or transferred to a third party.

Fees and Subscription Terms a. While we make available a free version of the Software and Platform, we may charge for certain tools or features and functionality of a premium version of the Software or premium subscription to the Platform. You agree to pay all fees or charges to your Account in accordance with the fees, charges and billing terms in effect at the time a fee or charge is due and payable. You must provide Otherside with a valid credit card (Visa, MasterCard, or any other issuer accepted by us) (“Payment Provider”), as a condition to signing up for a premium version of the Software or premium subscription for the Platform for which we charge. Your Payment Provider agreement governs your use of the designated credit card, and you must refer to that agreement and not this Agreement to determine your rights and liabilities. By providing Otherside with your credit card number and associated payment information, you agree that Otherside is authorized to immediately invoice your Account for all fees and charges due and payable to Otherside hereunder and that no additional notice or consent is required. You agree to immediately notify Otherside of any change in your billing address or the credit card used for payment hereunder. Otherside reserves the right at any time to change its prices and billing methods, either immediately or upon posting through the Services. b. As a user of the Services, you will be responsible for payment of the applicable fee for any premium version of the Software or premium subscription of the Platform (each, a “Service Subscription Fee”) at the time you purchase such premium version or subscribe to paid services and select your monthly or annual subscription package (each, a “Service Commencement Date”). Except as set forth in the Agreement, all fees for the Services are non-refundable. c. Your subscription will continue indefinitely until terminated in accordance with the Agreement. After your initial subscription period, and again after any subsequent subscription period, your subscription will automatically commence on the first day following the end of such period (each a “Renewal Commencement Date”) and continue for an additional equivalent period, at Otherside’s then-current price for such subscription.   • User Subscriptions 9.1. In consideration of the Fee paid by the Client to the Supplier in respect of the Subscriptions Services, and subject to the restriction sets out in this Clause 9 and the other terms of this Agreement, the Supplier grants to the Client a non-exclusive, non-transferable right and licence, without the right to grant sublicences, to permit the Authorised Users to use the Third Party Services and/or Subscription Services (as applicable) during the relevant licence term (as set out in the applicable Order Pack) solely in object code form and for the Client's internal business operations. 9.2. Once an order for Subscription Services has been accepted by the Supplier, Subscription Services shall continue for the duration set out in the applicable Order Pack unless and until terminated in compliance with the Agreement. 9.3. In relation to the Authorised Users, the Client undertakes that: (a) the maximum number of Authorised Users that it authorises to access and use the Third Party Services and/or Subscription Services shall not exceed the number of User Subscriptions it has purchased from time to time; (b) it will not allow or suffer any User Subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the Third Party Services and/or Subscription Services; (c) each Authorised User shall keep a secure password or other biometric authentication for their use of the Third Party Services and/or Subscription Services (as the case may be) and that each Authorised User shall keep their password confidential; (d) it shall maintain a written, up to date list of current Authorised Users and provide such list to the Supplier within five (5) Business Days of the Supplier’s written request from time to time; (e) it shall permit the Supplier to audit the Client’s use of the Third Party Services and Subscription Services for each Authorised User. Such audit may be conducted no more than once per quarter, at the Supplier's expense, and this right shall be exercised with reasonable prior notice, in such a manner as not to substantially interfere with the Client's normal conduct of business; (f) if any of the audits referred to in Clause 9.3(e) reveal that any password has been provided to any individual who is not an Authorised User, then without prejudice to the Supplier's other rights, the Client shall promptly disable such passwords and the Supplier shall not issue any new passwords to any such individual; and (g) if any of the audits referred to in Clause 9.3(e) reveal that the Client has underpaid Fees to the Supplier and/or individuals are using the Third Party Services who are not Authorised Users, without prejudice to the Supplier's other rights, the Client shall pay to the Supplier an amount equal to such underpayment within ten (10) Business Days of the date of the relevant audit or upon request by the Supplier, promptly disable access to such individuals. 9.4. Unless otherwise set out in the Order Pack, the Supplier may adjust the Minimum Users on renewal to reflect any adjustments made to the User Subscriptions in accordance with this Clause 9 over the previous twelve (12) months or as otherwise agreed between the Parties. 9.5. The relevant Order Pack shall specify whether or not the Client is permitted to adjust the number of Minimum Users purchased during the Term and, if permitted, shall provide a framework as to how such adjustment can be requested by the Client. 9.6. The rights provided under this Clause 14.19 are granted to the Client only, and shall not be considered granted to any subsidiary or holding company of the Client unless otherwise agreed in a Order Pack. 9.7. Termination of the licences under the Subscription Services will not affect any other Services provided under the applicable Order Pack or this Agreement.

  • Subscription Fees The Subscription Fee for Smart Configure, Price, Quote will remain fixed during the Subscription Term unless you: (i) exceed the Scope specified in the Order, (ii) give written notice for additional quantities of a Standard Sandbox and/or a Performance Sandbox, (iii) upgrade to a higher Edition package, (iv) subscribe to additional features or products, or (v) unless otherwise agreed to in the Order. Once increased as detailed above, your Subscription Fee will not decrease, even if there is a subsequent reduction in the actual Scope. You can learn more about how your fees may be otherwise adjusted in the 'Fees Adjustments' section below.

  • Subscription Agreements The Company shall have entered into the Subscription Agreements with each of the Investors, and such agreements shall be in full force and effect on the Closing Date.
