FEES; EXPENSES; EXPENSE REIMBURSEMENT. The Sub-Administrator shall receive from the Administrator such compensation for the Sub-Administrator’s services provided pursuant to this Agreement as may be agreed to from time to time in a written fee schedule approved by the parties. The fees are billed monthly and shall be due and payable upon receipt of the invoice. Upon the termination of this Agreement before the end of any month, the fee for any work completed prior to the termination shall be payable upon the date of termination of this Agreement. In addition, the Administrator shall reimburse the Sub-Administrator for its reasonable out-of-pocket costs incurred in connection with this Agreement. All rights of compensation and expense reimbursement under this Agreement for services performed as of the termination date shall survive the termination of this Agreement. The Administrator agrees promptly to reimburse the Sub-Administrator for any other reasonable expenses not contemplated by this Agreement that the Sub-Administrator may incur on the Administrator’s behalf or the Administrator’s request or with the Administrator’s consent. The Administrator and the Funds will bear all expenses that are incurred in the operation of the Funds and not specifically assumed by the Sub-Administrator. The Sub-Administrator is authorized to and may employ, associate or contract with such person or persons as the Sub-Administrator may deem desirable to assist it in performing its duties under this Agreement; provided, however that the compensation of such person or persons shall be paid by the Sub-Administrator and that the Sub-Administrator shall be as fully responsible to the Administrator for the acts and omissions of any such person or persons as it is for its own acts and omissions.

The Administrator Fund agrees promptly to reimburse the Sub-Administrator for any equipment and supplies specially ordered by or for the Fund through the Administrator and for any other reasonable expenses not contemplated by this Agreement that the Sub-Administrator may incur on the AdministratorFund’s behalf or at the AdministratorFund’s request or with the AdministratorFund’s consent, in either case, in the form of Proper Instructions. The Administrator Each of the Fund and the Funds Administrator will bear its own operating expenses. In particular, the Fund, and not the Administrator, will bear all Fund expenses that are incurred in the operation of the Funds and not specifically assumed by the Sub-Fund, or by the Administrator on the Fund’s behalf, in its operation unless otherwise mutually agreed in writing by the Fund and the Administrator. The Sub-From time to time, the Administrator is authorized to and may employ, associate or contract with such person or persons as the Sub-Administrator may deem desirable to assist it in performing its duties under this Agreement; provided, however however, that the compensation of such person or persons shall be paid by the Sub-Administrator and that the Sub-Administrator shall be as fully responsible to the Administrator Funds for the acts and omissions of any such person or persons as it is for its own acts and omissions. As mutually agreed by the Fund and the Administrator, but in any event at least annually, the Administrator shall discuss with the Fund any assistance the Administrator has deemed desirable in performing its duties under this Agreement.

The fees are accrued daily and billed monthly and shall be due and payable upon within 30 days of receipt of the invoice. Upon the termination of this Agreement before the end of any month, the fee for any work completed prior to the part of the month before such termination shall be prorated according to the proportion which such part bears to the full monthly period and shall be payable upon within 30 days of receipt of the termination invoice, such termination invoice to be received by Investment Manager on the date of termination of this Agreement. In addition, the Administrator Investment Manager shall reimburse the Sub-Administrator for its reasonable out-of-pocket costs that were pre-approved in writing and incurred in connection with this AgreementAgreement upon presentation of an itemized invoice documenting such expenses. All rights of compensation and expense reimbursement under this Agreement for services performed as of the termination date shall survive the termination of this Agreement. The Administrator Investment Manager agrees promptly to reimburse the Sub-Administrator for any equipment and supplies specially ordered by or for the Investment Manager through the Sub-Administrator and for any other reasonable expenses not contemplated by this Agreement that the Sub-Administrator may incur on the AdministratorInvestment Manager’s behalf or at the AdministratorInvestment Manager’s request or with the AdministratorInvestment Manager’s prior written consent. The Administrator All expenses referenced in this paragraph must be pre-approved in writing and itemized promptly in an invoice presented to Investment Manager. Any such equipment purchases shall be the Funds will bear all expenses that are incurred in the operation property of the Funds and not specifically assumed by the Sub-AdministratorInvestment Manager. The Sub-Administrator is authorized to and may employ, employ or associate or contract with such person or persons as the Sub-Administrator may deem desirable to assist it in performing its duties under this Agreement; provided, however however, that the compensation of such person or persons shall be paid by the Sub-Administrator and that the Sub-Administrator shall be as fully responsible to the Administrator Investment Manager for the acts and omissions of any such person or persons as it is for its own acts and omissions. Sub-Administrator understands and agrees that, consistent with Section 9 of this Agreement, Sub-Administrator is responsible for ensuring that any such persons hired by Sub-Administrator will keep confidential any Fund information received in connection with this Agreement. The expense associated with any such employment or association shall be borne by Sub-Administrator and shall not be eligible for reimbursement by the Investment Manager.

The Administrator Investment Manager agrees promptly to reimburse the Sub-Administrator for any equipment and supplies specially ordered by or for the Investment Manager through the Sub-Administrator and for any other reasonable expenses not contemplated by this Agreement that the Sub-Administrator may incur on the AdministratorInvestment Manager’s behalf at the Investment Manager’s request. All expenses referenced in this section must be pre-approved in writing by the Investment Manager and itemized and invoiced promptly by the Sub-Administrator. Any reasonable requests by the Sub-Administrator to the Investment Manager under this section will not be unreasonably withheld. Any equipment purchased at the direction for or on behalf of the Investment Manager pursuant to this Section will be the property of the Investment Manager. The Investment Manager or the Administrator’s request or with the Administrator’s consent. The Administrator and the Funds Funds, as applicable, will bear all expenses that are incurred in the its operation of the Funds and not specifically assumed by the Sub-Administrator. The Sub-Administrator is authorized to and may employ, employ or associate or contract with such person or persons as the Sub-Administrator may deem desirable to assist it in performing its duties under this Agreement; provided, however however, that the compensation of such person or persons shall be paid by the Sub-Administrator and that the Sub-Administrator shall be as fully responsible to the Administrator Investment Manager for the acts and omissions of any such person or persons as it is for its own acts and omissions. The expense associated with any such employment or association shall be borne by Sub-Administrator and shall not be eligible for reimbursement by the Investment Manager.

All rights of compensation and expense reimbursement under this Agreement for services performed as of the termination date shall survive the termination of this Agreement. The Sub-Administrator shall not be required to pay any expenses incurred by the Trust. The Administrator agrees promptly to reimburse the Sub-Administrator for any equipment and supplies specially ordered at the Administrator's request or with the Administrator's consent through the Sub-Administrator and for any other reasonable expenses not contemplated by this Agreement that the Sub-Administrator may incur on at the Administrator’s behalf or the Administrator’s 's request or with the Administrator’s 's consent. The All such reimbursements described herein shall be made to the Sub-Administrator and by the Funds will bear all expenses that are incurred in Administrator within thirty (30) days of receipt by the operation Administrator of the Funds and not specifically assumed by the Sub-Administrator's statement. In addition, the Administrator Trust shall reimburse the Sub-Administrator for its reasonable out-of-pocket costs incurred in connection with this Agreement. All rights of compensation and expense reimbursement under this Agreement for services performed as of the termination date shall survive the termination of this Agreement. The Administrator Trust agrees promptly to reimburse the Sub-Administrator for any equipment and supplies specially ordered by or for the Trust through the Administrator and for any other reasonable expenses not contemplated by this Agreement that the Sub-Administrator may incur on the AdministratorTrust’s behalf or at the AdministratorTrust’s request or with the AdministratorTrust’s consent.
