Fees of the Independent Accountants. Sellers shall pay a portion of the fees and expenses of the Independent Accountants equal to 100% multiplied by a fraction, the numerator of which is the amount of Disputed Amounts submitted to the Independent Accountants that are resolved in favor of Buyer (that being the difference between the Independent Accountants’ determination and Sellers’ determination) and the denominator of which is the total amount of Disputed Amounts submitted to the Independent Accountants (that being the sum total by which Buyer’s determination and Sellers’ determination differ from the determination of the Independent Accountants). Buyer shall pay that portion of the fees and expenses of the Independent Accountants that Sellers are not required to pay hereunder.
Fees of the Independent Accountants. The fees and expenses of the Independent Accountants shall be paid by Seller, on the one hand, and by Buyer, on the other hand, based upon the percentage that the amount actually contested but not awarded to Seller or Buyer, respectively, bears to the aggregate amount actually contested by Seller and Buyer.
Fees of the Independent Accountants. Buyer shall pay a portion of the fees and expenses of the Independent Accountant equal to 100% multiplied by a fraction, the numerator of which is the amount of Disputed Amounts submitted to the Independent Accountant that are resolved in favor of Seller (i.e., the difference between the Independent Accountant’s determination and Buyer’s determination) and the denominator of which is the total amount of Disputed Amounts submitted to the Independent Accountant (i.e., the sum total by which Seller’s determination and Buyer’s determination differ from the determination of the Independent Accountant). Seller shall pay that portion of the fees and expenses of the Independent Accountant that Buyer is not required to pay under this paragraph.
Fees of the Independent Accountants. The fees and expenses of the Independent Accountants shall be borne equally by Seller and Buyer.
Fees of the Independent Accountants. The Seller Representative shall pay a portion of the fees and expenses of the Independent Accountants equal to 100% multiplied by a fraction, the numerator of which is the amount of Disputed Amounts submitted to the Independent Accountants that are resolved in favor of XXXX (that being the difference between the Independent Accountants’ determination and the Seller Representative’s determination) and the denominator of which is the total amount of Disputed Amounts submitted to the Independent Accountants (that being the sum total by which XXXX’X determination and the Seller Representative’s determination differ from the determination of the Independent Accountants). XXXX shall pay that portion of the fees and expenses of the Independent Accountants that the Seller Representative is not required to pay hereunder.
Fees of the Independent Accountants. Parent shall pay a portion of the fees and expenses of the Independent Accountants equal to 100% multiplied by a fraction, the numerator of which is the total amount of the Disputed Amounts submitted to the Independent Accountants that are resolved in favor of Buyer (that being the difference between the Independent Accountants’ determination and Parent’s determination) and the denominator of which is the total amount of Disputed Amounts submitted to the Independent Accountants (that being the sum total by which Buyer’s determination and Parent’s determination differ). Advance America shall pay that portion of the fees and expenses of the Independent Accountants that Parent is not required to pay hereunder.
Fees of the Independent Accountants. The fees and expenses of the Independent Accountant shall be paid by Transferor, on the one hand, and by Acquiror, on the other hand, based upon the percentage that the amount actually contested but not awarded to Transferor or Acquiror, respectively, bears to the aggregate amount actually contested by Transferor and Acquiror.
Fees of the Independent Accountants. Seller and Buyer shall each pay one-half (1/2) of the fees and expenses of the Independent Accountants.
Fees of the Independent Accountants. The Seller shall pay a portion of the fees and expenses of the Independent Accountants (the “Fees”) equal to 100% multiplied by a fraction, the numerator of which is the amount of the Disputed Amounts submitted to the Independent Accountants that are resolved in favor of the Purchaser (that being the difference between the Independent Accountants’ determination and the Seller’s determination) and the denominator of which is the total amount of the Disputed Amounts submitted to the Independent Accountants (that being the sum total by which the Purchaser’s determination and the Seller’s determination differ from the determination of the Independent Accountants). The Purchaser shall pay that portion of the fees and expenses of the Independent Accountants that the Seller is not required to pay hereunder. The Independent Accountants shall on the basis of this Article 4.2.6 determine the division of the Fees between the Purchaser and the Seller. The determination of the Independent Accountants shall be binding for the Parties.
Fees of the Independent Accountants. The terms of appointment and engagement of the Independent Accountants shall be as agreed upon between Buyer and Scepter based on reasonable and customary arrangements for such services, and any associated fees shall initially be borne 50% by Buyer and 50% by Scepter; provided such fees shall ultimately be allocated between Buyer, on the one hand, and Scepter, on the other hand, as follows: Scepter shall be responsible for a portion of the fees and expenses of the Independent Accountants equal to 100% multiplied by a fraction, the numerator of which is the amount of Disputed Amounts submitted to the Independent Accountants that are resolved in favor of Buyer (that being the difference between the Independent Accountants’ determination and Scepter’s determination) and the denominator of which is the total amount of Disputed Amounts submitted to the Independent Accountants (that being the sum total by which Buyer’s determination and Scepter’s determination differ from the determination of the Independent Accountants). Buyer shall be responsible for that portion of the fees and expenses of the Independent Accountants that Scepter is not required to pay hereunder. Within ten (10) days of the Independent Accountants’ determination of the Disputed Amounts in accordance with this Section 2.06(c)(iv), each of Scepter and Buyer, as applicable shall pay the other the amount required so that the allocation for responsibility for the Independent Accountants’ fee is consistent with this Section 2.06(c)(iv).
