Common use of File Exchange Service Clause in Contracts

File Exchange Service. Consultant will provide a file exchange service to facilitate communications; particularly of large files over three (3) megabytes. Difficulties in using and transmitting information with this exchange service shall be resolved by the Consultant. In the event that transmitting or receiving information does not occur in a timely manner, the District will not be responsible for delays in completing Project work. Consultant may need to work with District’s Information Technology Unit to address any firewall issues and/or permissions required to allow for these communications.
