Common use of Filing of Motions Clause in Contracts

Filing of Motions. No Secured Party shall, in or in connection with any Insolvency Proceeding, file any pleadings or motions, take any position at any hearing or proceeding of any nature, or otherwise take any action whatsoever, in each case to challenge, contest or otherwise object to the scope, validity, enforceability, perfection or priority of any Liens held by any other Secured Party and no Secured Party shall support any other Person doing any of the foregoing.

No Secured Party shall, in or in connection with any Insolvency Proceeding, file any pleadings or motions, take any position at any hearing or proceeding of any nature, or otherwise take any action whatsoever, in each case to challengein respect of any of the Common Collateral, contest or otherwise object which is inconsistent with this Agreement, including, without limitation, with respect to the scope, validity, enforceability, perfection or priority determination of any Liens or claims held by any other Secured Party and no Secured Party shall support or the value of any other Person doing any claims of such parties under Section 506(a) of the foregoingBankruptcy Code or otherwise.
