FILING OF RETURNS AND OTHER WRITINGS. The Managing General Partner shall be the Tax Matters Partner and is also specifically authorized to and shall cause the preparation and timely filing of all Partnership tax returns and shall, on behalf of the Partnership, subject to the terms and provisions of the Redemption Agreement, make such tax elections for the Partnership as it, after consultation with the Partnership's accountants, shall determine to be in the best interests of the Partners. In addition, the Managing General Partner shall timely file all other forms, documents or other writings with respect to the business and operation of the Partnership which shall be required by any governmental agency or authority having jurisdiction to require such forms, documents or other writings, and shall transmit to each Partner any form or document required to be transmitted by any such governmental agency.
