Filings; Consents; Reasonable Efforts. Subject to the terms and conditions of this Agreement, Christiana and EVI shall (i) make all necessary filings with respect to the Merger and this Agreement under the HSR Act, the Securities Act, the Exchange Act, and applicable blue sky or similar securities laws and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (ii) use reasonable efforts to obtain all consents, waivers, approvals, authorizations, and orders required in connection with the authorization, execution, and delivery of this Agreement and the consummation of the Merger; and (iii) use reasonable efforts to take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper, or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement.
Filings; Consents; Reasonable Efforts. Subject to the terms and conditions of this Agreement, Seller and Buyer shall (I)make all filings necessary under the applicable Securities Acts, the Exchange Act, the Texas Corporations and Partnership Laws and applicable blue sky or similar securities laws and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (ii) use reasonable efforts to obtain all consents, waivers, approvals, authorizations, and orders required in connection with the authorization, execution, and delivery of this Agreement; and (iii) use reasonable efforts to take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper, or advisable to make effective as promptly as practicable the Transactions.

Subject to the terms and conditions of this Agreement, GulfMark and EVI shall (i) make all necessary filings with respect to the Merger and this Agreement under the HSR Act, the Securities Act, the Exchange Act, and applicable blue sky or similar securities laws and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (ii) use reasonable efforts to obtain all consents, waivers, approvals, authorizations, and orders required in connection with the authorization, execution, and delivery of this Agreement and the consummation of the Merger; and (iii) use reasonable efforts to take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper, or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement.
Filings; Consents; Reasonable Efforts. Subject to the terms and conditions of this Agreement, Norwest shall, and shall cause the Norwest Subsidiaries to, and Victoria shall, and shall cause the Victoria Subsidiaries to, (a) make all necessary filings with respect to the Merger and this Agreement under the Securities Act, the Exchange Act and applicable blue sky or similar securities laws required to consummate the transactions contemplated herein and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (b) make all necessary filings under the BHCA and with the Banking Regulators required to consummate the transactions contemplated herein; (c) obtain all consents, waivers, approvals, authorizations and orders required in connection with the authorization, execution and delivery of this Agreement and the consummation of the transactions contemplated herein; and (d) take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated herein. Norwest shall provide to Victoria and Victoria shall provide to Norwest, as soon as reasonably practicable, all nonconfidential portions of applications filed with and correspondence to or from the Banking Regulators related to the consummation of the transactions contemplated herein. Victoria shall not, and shall not permit any of the Victoria Subsidiaries to, take any action that would, or that reasonably could be expected to, result in any of the representations and warranties set forth in this Agreement becoming untrue or any of the conditions to the Merger set forth in Article VII not being satisfied. Morwest shall not, and shall not permit any of the Norwest Subsidiaries to, take any action that would, or that

Subject to the terms and conditions of this Agreement, Mercury and MSR shall (i) make all necessary filings with respect to the Merger and this Agreement under the Securities Act, the Exchange Act and applicable blue sky or similar securities laws and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (ii) obtain all consents, waivers, approvals, authorizations and orders required in connection with the authorization, execution and delivery of this Agreement and the consummation of the Merger; and (iii) take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement.
Filings; Consents; Reasonable Efforts. Subject to the terms and conditions set forth in Section 5.5 and the fiduciary obligations of the Board of Directors of Beaver Lake with respect to such matters, Beaver Lake and Greka shall (i) make all necessary filings with respect to the Arrangement and this Agreement under applicable securities laws and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (ii) use reasonable efforts to obtain all consents, waivers, approvals, authorizations, and orders required in connection with the authorization, execution, and delivery of this Agreement and the consummation of the Arrangement; (iii) use reasonable efforts to take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper, or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement; and (iv) will permit the review by each other of all documents to be filed with the Court or to be sent to the Beaver Lake Common Shareholders with respect to the Beaver Lake Shareholders Meeting.

Subject to the terms and conditions of this Agreement, Webmodal and EGM shall (i) use all reasonable efforts to obtain all consents, waivers, approvals, authorizations and orders required in connection with the authorization, execution and delivery of this Agreement and the consummation of the Merger; and (ii) take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement.

Subject to the terms and conditions of this Agreement, Carrollton and Titan shall (i) make all necessary filings with respect to the Merger and this Agreement under the HSR Act, the Securities Act, the Exchange Act and applicable blue sky or similar securities laws and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (ii) obtain all consents, waivers, approvals, authorizations and orders required in connection with the authorization, execution and delivery of this Agreement and the consummation of the Merger; and (iii) take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement.

Subject to the terms and conditions of this Agreement, Dailxx xxx Weatherford shall (i) make all necessary filings with respect to the Plan and this Agreement under the HSR Act, the Securities Act, the Exchange Act, and applicable blue sky or similar securities laws and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (ii) use reasonable efforts to obtain all consents, waivers, approvals, authorizations, and orders required in connection with the authorization, execution, and delivery of this Agreement and the consummation of the Plan; and (iii) use reasonable efforts to take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper, or advisable to consummate the Plan and make effective as promptly as practicable the Transactions, including (with respect to Dailxx) xxusing any Dailxx Xxxsidiary that is not a Subsidiary Party to authorize and execute any Other Agreements.

Subject to the terms and conditions of this Agreement, Cliffs and R&B Falcon shall (i) make all necessary filings with respect to the Merger and this Agreement under the HSR Act, the Securities Act, the Exchange Act and applicable blue sky or similar securities laws and shall use all reasonable efforts to obtain required approvals and clearances with respect thereto; (ii) obtain all consents, waivers, approvals, authorizations and orders required in connection with the authorization, execution and delivery of this Agreement and the consummation of the Merger; and (iii) take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement.
