Common use of Filings, Registrations, Recordings Clause in Contracts

Filings, Registrations, Recordings. (i) Any documents (including, without limitation, financing statements) required to be filed, registered or recorded in order to create, in favor of Buyer, a perfected, first-priority security interest in the Purchased Items and Related Security, subject to no Liens other than those created hereunder and under the Intercreditor Agreement, shall have been properly prepared and executed for filing (including the applicable county(ies) if Buyer determines such filings are necessary in its reasonable discretion), registration or recording in each office in each jurisdiction in which such filings, registrations and recordations are required to perfect such first-priority security interest; and (ii) Uniform Commercial Code lien searches, dated as of a recent date, in no event more than thirty (30) days prior to the date of such initial Transaction, in such jurisdictions as shall be applicable to the Seller and the Purchased Items, the results of which shall be satisfactory to Buyer.

(i) Any documents (including, without limitation, financing statements) required to be filed, registered or recorded in order to create, in favor of BuyerAgent for the benefit of Buyers, a perfected, first-priority security interest in the Purchased Items and Related Security, subject to no Liens other than those created hereunder and under the Intercreditor Agreement, shall have been properly prepared and executed for filing (including the applicable county(ies) if Buyer Agent determines such filings are necessary in its reasonable discretion), registration or recording in each office in each jurisdiction in which such filings, registrations and recordations are required to perfect such first-priority security interest; and (ii) Uniform Commercial Code UCC lien searches, dated as of a recent date, in no event more than thirty fourteen (3014) days prior to the date of such initial Transaction, in such jurisdictions as shall be applicable to the Seller and the Purchased Items, the results of which shall be satisfactory to BuyerAgent.

(i) Any documents (including, without limitation, financing statementsstatements but other than mortgages and Lease filings) required to be filed, registered or recorded in order to create, in favor of BuyerAgent, a perfected, first-priority security interest in the Purchased Items and Related SecurityCollateral, subject to no Liens other than those created hereunder and under the Intercreditor AgreementPermitted Liens, shall have been properly prepared and executed for filing (including the applicable county(ies) if Buyer Agent determines such filings are necessary in its reasonable discretion), registration or recording in each office in each jurisdiction in which such filings, registrations and recordations are required to perfect such first-priority security interest; and (ii) Uniform Commercial Code UCC lien searches, dated as of a recent date, in no event more than thirty fourteen (3014) days prior to the date of such initial TransactionAdvance, in such jurisdictions as shall be applicable to the Seller Borrower and Limited Guarantor and the Purchased ItemsCollateral, the results of which shall be satisfactory to BuyerAgent.

(i) Any documents (including, without limitation, financing statements) required to be filed, registered or recorded in order to create, in favor of Buyer, a perfected, first-priority security interest in the Purchased Items and Related Security(to the extent the same may be perfected under the Uniform Commercial Code), subject to no Liens other than those created hereunder and or the junior Liens created under the Intercreditor AgreementSubordinated Lender Credit Facility, shall have been properly prepared and executed for filing (including the applicable county(ies) if Buyer determines such filings are necessary in its reasonable discretion), registration or recording in each office in each jurisdiction in which such filings, registrations and recordations are required to perfect such first-priority security interest; and (ii) Uniform Commercial Code lien searches, dated as of a recent date, in no event more than thirty fourteen (3014) days prior to the date of such initial Transaction, in such jurisdictions as shall be applicable to the Seller and the Purchased Items, the results of which shall be satisfactory to Buyer.
