Final Service Agreement. It is acknowledged and agreed that that the County and LEEP will work together expeditiously and in good faith to develop the Project and negotiate and execute the FSA based upon the DSA and this POA. The target date for executing the FSA is 240 days following the Execution Date of this POA. This 240-day period may be extended at the sole discretion of the County’s Director of Public Works upon a request by LEEP for such extension. A condition precedent to the execution of the FSA is the completion and submission of the documents required by Sections 2, 4, 5, 10, 11 and 12 of this POA to the satisfaction of the County. Any material delay caused by LEEP in submitting such required documents that remains unexcused by the County will allow the County the right to terminate this POA and cease negotiation of the FSA with LEEP. Metering Points shall mean the location(s) identified by the NYISO for any Metering Equipment associated with the Transmission Project that are required for the Transmission Project to provide zonal or subzonal metering data. NERC shall mean the North American Electric Reliability Council or its successor organization. Network Upgrade Facilities shall mean the least costly configuration of commercially available components of electrical equipment that can be used, consistent with Good Utility Practice and Applicable Reliability Requirements, to make the modifications or additions to the New York State Transmission System that are required for the proposed Transmission Project to connect reliably to the system in a manner that meets the NYISO Transmission Interconnection Standard.
