Board Review. No Reimbursement Amount will be paid to the Adviser if the Trust’s Board of Trustees determines that the payment of the Reimbursement Amount is not in the best interests of shareholders.

Board Review. For those grievances that pertain to Board policy only, the aggrieved party may, within five school days of the final determination by the Chief Administrator, submit a written appeal to the Board for a review of the previous determination. a. The aggrieved party shall submit to the Board with the notice of appeal, all writ- ten statements and records of the grievance. b. In not less than 10 school days from the date of receipt of the appeal, the Board shall call a hearing at the time and date specified. The hearing shall be held not less than 15 school days from the date of the receipt of the appeal. c. The aggrieved party and any representative are entitled to be heard at such hearing. d. No further information, other than included in the record, shall be submitted to the Board at the hearing. e. Not more than 5 school days from the date of the completion of the hearing, the Board shall render its written determination and mail a copy to the aggrieved party.
Board ReviewUpon receipt of the self-evaluation, the Board shall complete the evaluation form. Upon completion, the Board shall meet with and provide a copy of the evaluation report to the Superintendent in closed session board meeting(s). Based upon findings specified in the evaluation report, the Superintendent, in collaboration with the Board, will prepare an action plan, if necessary, which will address areas identified as needing clarification, emphasis or improvement. The action plan shall identify in writing areas where improvement is required and provide written recommendations for improvement. If a jointly prepared action plan cannot be agreed upon, the action plan shall be issued by the Board in its sole discretion. The Superintendent and the Board President shall sign the evaluation report and action plan.
Board Review. A request for Board Review shall be submitted by the grievant to the Superintendent who will schedule the grievance for Board consideration. Prior to the Board review, the DISTRICT and SESPA and/or the grievant will meet to attempt a resolution. At the Board meeting, the grievant may present to the Board pertinent information concerning the grievance and the grievant's rationale for resolving the grievance. The grievant may determine whether the presentation is in open or closed session. Once the Board has heard the presentation, it may consider the matter in closed Session and make a decision about how the DISTRICT will proceed in this matter. The decision shall be communicated to the grievant along with the Board’s rationale within five (5) days of the meeting. The Board may ask for further information on the grievance. In such a case, the timeline for response will be delayed to a time mutually agreed upon.
Board ReviewNotwithstanding the foregoing, and without limiting any other right or remedy that may be available to the Company, the Board may deny any right contemplated by this Section 4.6 to any Person that is a transferee or purported transferee of any securities of the Company in violation of Section 4.2.
