Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except for Persons set forth on Schedule 3.6, no Person has acted, directly or indirectly, as a broker, finder, financial advisor or other intermediary for Seller in connection with the transactions contemplated by this Agreement, and no Person is entitled to any fee or commission or like payment in respect thereof. For the avoidance of doubt, Seller shall be solely responsible for any fee or commission or like payment owed to the Persons set forth on Schedule 3.6.

Financial Advisors. Except for Persons as set forth on Schedule 3.64.21, no Person has acted, directly or indirectly, as a broker, finder, finder or financial advisor or other intermediary for Seller Sellers in connection with the transactions contemplated by this Agreement, and no other Person is entitled to any fee or commission or like payment in respect thereofthereof through Sellers. For the avoidance of doubt, Seller Sellers shall be solely responsible for the fees or commissions of any fee or commission or like payment owed to the Persons set forth Person listed on Schedule 3.64.21.

Financial Advisors. Except for Persons as set forth on Schedule 3.63.30, no Person has acted, acted directly or indirectly, indirectly as a broker, finder, finder or financial advisor for the Seller or other intermediary for Seller the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement, Agreement and no Person is entitled to any fee or commission or like payment in respect thereofthereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. For the avoidance of doubt, The Seller shall be solely responsible for any fee or commission or like payment owed to the Persons set forth on obligations described in Schedule 3.63.30.

Financial Advisors. Except for Persons as set forth on Schedule 3.64.17, no Person has acted, directly or indirectly, as a broker, finder, finder or financial advisor or other intermediary for Seller in connection with the transactions contemplated by this Agreement, Agreement and no Person neither Purchaser nor any Transfer Group Company is entitled or will become obligated to pay any fee or commission or like payment in respect thereof. For to any broker, finder or financial advisor as a result of the avoidance consummation of doubt, the transactions contemplated by this Agreement based upon arrangements made by or on behalf of Seller shall be solely responsible for or any fee or commission or like payment owed to the Persons set forth on Schedule 3.6Affiliate of Seller.

Except for Persons as set forth on Schedule 3.65.18, no Person has acted, directly or indirectly, as a broker, finder, finder or financial advisor or other intermediary for Seller or the Company in connection with the transactions contemplated by this Agreement, Agreement and no such Person is entitled to any fee or commission or like payment from Purchaser in respect thereof. For the avoidance of doubt, Seller shall be solely responsible for any fee or commission or like payment owed to the Persons set forth on Schedule 3.6.

Financial Advisors. Except for Persons as set forth on in Schedule 3.63.5, no Person has acted, directly or indirectly, as a broker, finder, finder or financial advisor or other intermediary for Seller the Selling Group in connection with the transactions contemplated by this Agreement, and no Person engaged by the Selling Group is or will be entitled to any broker’s, finder’s or similar fee or commission or like payment in respect thereof. For the avoidance of doubt, Seller shall be solely responsible for any fee or commission or like payment owed to the Persons set forth on Schedule 3.6.

For the avoidance of doubt, Seller shall be solely responsible for any fee or commission or like payment owed to the Persons set forth on Schedule 3.6.

For The Company and the avoidance of doubt, Seller shall be solely responsible for any fee or commission or like the payment owed to the Persons set forth on Schedule 3.6of such fee.

Financial Advisors.
