Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 3.17 of the Seller Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for Seller or any of its Affiliates in connection with the transactions contemplated by this Agreement Company and no such Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Company in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth on Schedule 5.12 Section 4.22 of the Seller Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement Transactions and no such Person is entitled to any fee or commission or like payment from the Company in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.7, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller any Seller, Company or any of its Affiliates Subsidiary in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 3.21 of the Seller Disclosure ScheduleSchedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Stockholders, the Company or any of its Affiliates Subsidiary in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 in Section 3.6 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates such Selling Stockholder in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 4.26 of the Seller Disclosure ScheduleSchedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Company, any of its Subsidiaries or any of its Affiliates the Sellers or the Owners in connection with the transactions contemplated by this Agreement Agreement, and no such Person is entitled to any fee or commission or like payment from the Company or any of its Subsidiaries in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Company or any of its their Affiliates in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Company or any of its Affiliates Company Stockholder in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 3.22 of the Seller Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for Seller the Sellers or any of its Affiliates in connection with the transactions contemplated by this Agreement Group Companies and no such Person other than those Persons set forth on Section 3.22 of the Company Disclosure Schedule is entitled to any fee or commission or like payment based on the arrangements made by the Sellers, the Company or any of the Company Subsidiaries in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.5, (a) no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates such Selling Stockholder in connection with the transactions contemplated by this Agreement and (b) no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 5.23 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates Sellers in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Sellers or their respective Affiliates in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 3.21 of the Seller Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for Seller or any on behalf of its Affiliates in connection with the transactions contemplated by this Agreement Equityholders or the Group Companies and no such Person other than those Persons set forth on Section 3.21 of the Company Disclosure Schedule is entitled to any fee or commission or like payment based on the arrangements made by the Equityholders, the Company or any of the Company Subsidiaries in respect thereofconnection with the Transactions.

Financial Advisors. Except as set forth on Schedule 5.12 Section 3.21 of the Seller Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for Seller the Sellers or any of its Affiliates in connection with the transactions contemplated by this Agreement Group Companies and no such Person other than those Persons set forth on Section 3.21 of the Company Disclosure Schedule is entitled to any fee or commission or like payment based on the arrangements made by the Sellers or any Group Company in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule------------------ 4.27, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller ABC or any of its Affiliates the Shareholder in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 4.26 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Sellers or any of its Affiliates the Acquired Companies in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule4.23, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Company or any of its Affiliates in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth disclosed on Schedule 5.12 SCHEDULE 3.26 of the Seller Disclosure Schedule, no Person has acted, acted directly or indirectly, indirectly as a broker, finder or financial advisor for Seller the Company or any of its Affiliates the Sellers in connection with the negotiations relating to the transactions contemplated by this Agreement or by the other Transaction Documents, and no such Person is entitled to any fee or commission or like payment in respect thereofthereof based in any way on agreements, arrangements or understandings made by or on behalf of the Company or any of the Sellers.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule5.27, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Signing Stockholders, the Company or any of its Affiliates Subsidiary in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 in Section 3.5 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, or financial advisor for either Seller or any of its Affiliates in connection with the transactions contemplated by this Agreement Agreement, and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 5.20 of the Seller Disclosure ScheduleSchedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule------------------ 4.26, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates the Shareholders or National in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of 3.5 or as disclosed in the Seller Disclosure ScheduleJoinder Agreement, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates such Principal Securityholder in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 4.29 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Selling Stockholders or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 in Section 3.6 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates such Selling Stockholder in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 in Section 3.04 of the Seller Disclosure ScheduleSchedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates Sellers in connection with the transactions contemplated by this Agreement Transactions and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.24, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 in Section 4.31 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, or financial advisor for Seller the Company or any of its Affiliates the Subsidiaries in connection with the transactions contemplated by this Agreement Agreement, and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth disclosed on Schedule 5.12 of the Seller Disclosure Schedule4.19, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Company or any of its Affiliates Subsidiary in connection with the transactions contemplated by this Agreement Agreement, and no such Person engaged by the Company or any Subsidiary is or will be entitled to any fee broker’s, finder’s or similar fee, commission or like payment in respect thereof.

Financial Advisors. Except as set forth on in Schedule 5.12 of the Seller Disclosure Schedule3.24, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Sellers or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule------------------ 4.27, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller CND or any of its Affiliates Shareholder in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.14, no Person has acted, directly or indirectly, as a broker, finder finder, or financial advisor for Seller or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule4.28, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Selling Stockholders or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 3.7 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for such Seller or any of its Affiliates in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 4.6 of the Seller Purchaser Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for Seller Purchaser or any of its Affiliates in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Purchaser or its Affiliates in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.17, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Selling Stockholder or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.17, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement Transaction, and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Company or any of its Affiliates Primary Company Stockholder or to the Company’s Knowledge any other Company Stockholder in connection with the transactions contemplated by this Agreement Transactions and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 in Section 3.04 of the Seller Disclosure ScheduleSchedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates Sellers in connection with the transactions contemplated by this Agreement Transactions and no such Person is entitled to any fee or commission or like payment in respect thereof. SECTION 3.05.

Financial Advisors. Except as set forth on Schedule 5.12 in Section 4.29 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Selling Stockholders, the Company or any of its Affiliates Subsidiary in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 of the Seller Disclosure Schedule3.17, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or any of its Affiliates the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.12 Section 3.20 of the Seller Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for Seller the Stockholders, the Company or any of its Affiliates in connection with the transactions contemplated by this Agreement Subsidiaries and no Person other than any Person identified on such Person Schedule is entitled to any fee or commission or like payment from the Stockholders, the Company or its Subsidiaries in respect thereofconnection with the Transaction.
